Consultant Work Product - definition

Consultant Work Product - means any and all items and information delivered to Client or its employee(s), or otherwise generated by Consultant or its agent in the course of providing Services under this Agreement, whether in hard copy or electronic form, including all Deliverables, works of authorship, reports, designs, analyses and other supporting material, summaries and recommendations.
Consultant Work Product - means all Work Product created prior to or independently of the performance of the services, or created by Consultant or its subcontractors as a tool for their use in performing the services, plus any modifications or enhancements of such Consultant Work Product and derivative works based thereon. Upon payment for the applicable Work Product, Consultant hereby grants to City the right to use as necessary in connection with City’s use of the Work Product, any Consultant Work Product in connection with its use of the Work Product. Except for such license grant, Consultant or its licensors retain all rights in and to all Consultant Work Product. The rights granted in this Section do not apply to any Work Product that is licensed to City under a separate agreement.
Consultant Work Product - means all Developed Software, Source Code for Developed Software and any other materials or works or authorship, in whatever form, developed or created by Consultant (or Consultant’s Sub-Contractor(s)) for the Authority hereunder and any inventions, improvements, or discoveries therein, whether or not patentable, and shall not include Customer Data.
