Consolidated Operating Partnership definition

Consolidated Operating Partnership means the Borrower, the General Partner and any other subsidiary partnerships or entities of either of them which are required under GAAP to be consolidated with the Borrower and the General Partner for financial reporting purposes.

"CONSOLIDATED NET WORTH" means, as of any date of determination, the stockholders' equity as shown on the balance sheet of the General Partner as of that date. "CONSOLIDATED TOTAL INDEBTEDNESS" means, as of any date of determination, (i) all Indebtedness of the Consolidated Operating Partnership outstanding at such date, determined in accordance with GAAP, after eliminating intercompany items, PLUS (ii) the allocable percentage of any Indebtedness of any Investment Affiliate outstanding at such date equal to the applicable economic interest in such Investment Affiliate held by any entity in the Consolidated Operating Partnership, in the aggregate, without duplication.
