More Definitions of Consolidated Financial

Consolidated Financial. Statements shall mean the consolidated financial statements of the Group as at December 31, 2006 attached hereto as Annex 5.1.3. Damage shall have the meaning set forth in Article 6.1.1(b). Data Room Escrow Agent shall mean Dr. * and Dr. *. Data Room Indices shall have the meaning set forth in Article 6.1.4(d)(ii). Disclosure Letter shall mean the letter delivered by the Sellers to Buyer at the signing of this Agreement relating to the representations and warranties given by Sellers in Annex 5.1. Disclosure Information shall have the meaning set forth in Article 6.1.4(d). Environmental Laws shall have the meaning set forth in paragraph 17 of Annex 5.1. Consolidated Financial. Obligations With respect to any fiscal period, an amount equal to the sum of all payments on indebtedness of the Borrower, any of its Subsidiaries or any other Person (excluding indebtedness in respect of contingent obligations of RMI arising solely in its capacity as a general partner or joint venturer of any of the Joint Ventures) that become due and payable or that are to become due and payable during such fiscal period pursuant to any agreement or instrument to which the Borrower or any of its Subsidiaries or any other Person is a party relating to the borrowing of money or the obtaining of credit or in respect of Capitalized Leases. Demand obligations shall be deemed to be due and payable during any fiscal period during which such obligations are Outstanding. Consolidated Operating Cash Flow. For any period, an amount equal to (a) the sum of (i) Earnings Before Interest and Taxes for any Person for such period, plus (ii) depreciation, amortization and all other noncash charges of such Person for such period, less (b) the sum of (i) cash payments by such Person for all taxes paid during such period, plus (ii) cash Capital Expenditures made by such Person during such period to the extent permitted by Section 10.3, plus (iii) minority interest expenses paid in cash by such Person for such period, provided that any extraordinary or non-recurring gains or losses shall be excluded from the calculation of Consolidated Operating Cash Flow.

  • Consolidated Funded Indebtedness means, as of any date of determination with respect to the MLP and its Subsidiaries on a consolidated basis, without duplication, the sum of: (a) all obligations for borrowed money (including the Obligations) and all obligations evidenced by bonds, debentures, notes, loan agreements or other similar instruments; (b) the maximum amount available to be drawn under letters of credit (including standby and commercial), bankers’ acceptances, bank guaranties, surety bonds and similar instruments; (c) all obligations in respect of the deferred purchase price of property or services (other than trade accounts payable in the ordinary course of business); (d) indebtedness (excluding prepaid interest thereon) secured by a Lien on property owned or being purchased by the MLP or a Subsidiary (including indebtedness arising under conditional sales or other title retention agreements), whether or not such indebtedness shall have been assumed by the MLP or such Subsidiary or is limited in recourse; (e) all Attributable Indebtedness; (f) all obligations to purchase, redeem, retire, defease or otherwise make any payment prior to the Maturity Date in respect of any Equity Interests or any warrant, right or option to acquire such Equity Interest, valued, in the case of a redeemable preferred interest, at the greater of its voluntary or involuntary liquidation preference plus accrued and unpaid dividends; (g) all Guarantees with respect to Indebtedness of the types specified in clauses (a) through (f) above of another Person; and (h) all Indebtedness of the types referred to in clauses (a) through (g) above of any partnership or joint venture (other than a joint venture that is itself a corporation or limited liability company) in which any Loan Party or any Subsidiary is a general partner or joint venturer, except to the extent that Indebtedness is expressly made non-recourse to such Person.

  • Consolidated Capital means the sum (without duplication) of (i) Consolidated Debt of the Borrower (without giving effect to the proviso in the definition of Consolidated Debt) and (ii) consolidated equity of all classes (whether common, preferred, mandatorily convertible preferred or preference) of the Borrower.

  • Consolidated Assets means, at a particular date, all amounts which would be included under total assets on a consolidated balance sheet of the Company and its Subsidiaries as at such date, determined in accordance with GAAP.
