Consideration Securities definition

Consideration Securities means collectively, the Consideration Shares and the Consideration Warrants;

Consideration Securities means, collectively, the Consideration Shares and the Replacement Options;

Consideration Securities means any Common Shares and/or Equity Securities issued (a) in connection with bona fide bank debt, equipment financing or non-equity interim financing transactions with lenders to the Corporation, in each case, with an equity component; or (b) in connection with bona fide acquisitions (including acquisitions of assets or rights under a license or otherwise), mergers or similar business combination transactions or joint ventures undertaken and completed by the Corporation.

Examples of Consideration Securities in a sentence

• When issued, the Valdy Consideration Securities to be issued to the INX Securityholders will be duly and validly issued by Valdy as fully paid and non-assessable securities and will not be issued in violation of the terms of any agreement or other understanding binding upon Valdy at the time that such securities are issued and will be issued in compliance with the constating documents of Valdy and all applicable Laws.

• The Parties hereby agree, that to the extent so required under the relevant Israeli Income Tax Ruling, the Valdy Consideration Securities distributable hereunder shall be deposited with a paying agent, who shall act as a paying or escrow agent, subject to the terms of the Israeli Income Tax Ruling and a customary paying agent agreement shall be executed prior to the Closing Time by the Parties.

• An Independent Board Committee comprising all of the independent non-executive Directors of the Company has been established to advise the Shareholders in connection with the Proposed Transaction and issue of Consideration Securities.

• Notwithstanding any other provision of this Agreement, no fractional Consideration Securities will be issued in the Transaction.

• Therefore, on Completion, SMBC will be issued a combination of Consideration Securities and SMBC Subscription Shares representing 205,014,113 Shares in aggregate, and 4.6% of the total issued Shares as enlarged by the allotment and issue of the Consideration Shares and SMBC Subscription Shares (assuming the Cash Consideration Adjustment is not exercised).
