Each sale of Term A Loans by a Consenting Lender pursuant to this Section 2(b) shall be made without representation or warranty of any kind by such Consenting Lender, the Administrative Agent or the Borrower, except that each such Consenting Lender shall be deemed to represent that it is the legal and beneficial owner of the interests being sold and that such Term A Loans are free and clear of all Liens created by it.
Each Consenting Lender hereby agrees to sell, assign and transfer to the Borrower, and the Borrower hereby agrees to purchase from such Consenting Lender, such Term A Loans on the Amendment No. 5 Effective Date for the TLA Purchase Price, subject to the terms hereof.
