Conflicted Director definition

Conflicted Director means (in relation to a Relevant Situation) a Director who has made a submission for authorisation in respect of that Relevant Situation.

• Subject to the provisions of paragraph (a) any request for authorisation received from a Conflicted Director may be dealt with and resolved upon by the Independent Directors in such manner as any other matter may be considered and resolved upon by the Directors in accordance with these Articles.

• A Conflicted Director shall not be entitled to any information which is relevant to the matter giving rise to the conflict of interest except to the extent authorised by the Non-Conflicted Directors.

• The Non-Conflicted Directors shall communicate their decisions promptly to each Conflicted Director.

• A Conflicted Director shall not be entitled to review, and shall be restricted or otherwise prohibited from reviewing, non-public information and books and records, and shall be restricted and recused or otherwise excluded from discussions or voting in a meeting of the Board, in each case relating, directly or indirectly, to the Conflicted Business.

• Any confidential information which a Conflicted Director has received from the Company or in his capacity as a director of the Company shall not be disclosed by him to any third party except insofar as permitted by the Non-Conflicted Directors.

Conflicted Director means a Company Director that abstains from giving the recommendation and providing the undertaking referred to in clause 8.1 whether due to a conflict of interest or otherwise.
