Examples of Conflict Matter in a sentence
A Director is not required, by reason of being a Director, to account to the Company for any profit, remuneration or other benefit which he derives from or in connection with a Conflict Matter which has been authorised by the Board pursuant to the preceding Article, or by the Company in general meeting (subject to any terms, limits or conditions attaching to such authorisation).
Before any such authorisation (a “Conflict Authorisation”) is given, a Director shall propose to the Directors, in accordance with the Board’s procedures for putting proposals to the Directors for their consideration and approval at a meeting of the Board or by way of written resolution or with such other procedures as the Directors may determine, that the Conflict Matter concerned be so authorised.
In such circumstances the provisions of Clause 12.5 shall apply save that the Council (represented by a duly authorised person) shall constitute a quorum and shall be entitled to make any decision in relation to the HDV, acting in its sole discretion, in respect of the PSP Conflict Matter.
Conflict Matter Documentation shall not be sent to a Director who is conflicted with respect to that Conflict Matter.
Except as otherwise specifically provided in the Plan, each of the Debtors, including, in the case of any Conflict Matter between any Debtors, each Debtor acting at the direction of its respective Disinterested Director or Manager and without the consent of any other Debtor, reserves the right to modify the Plan, whether such modification is material or immaterial, and to seek Confirmation consistent with the Bankruptcy Code.
