Confidential Proprietary Information means with respect to any Party all scientific, business or financial information relating to such Party, its subsidiaries or affiliates or their respective businesses, except when such information: a. Becomes known to the other Party prior to receipt from such first Party; b. Becomes publicly known through sources other than such first Party; c. Is lawfully received by such other Party from a party other than the first Party; or d. Is approved for release by written authorization from such first Party.

Confidential Proprietary Information has the meaning set forth in Section 12.1.1.

Except as expressly provided in this Agreement, nothing in this Agreement, including any obligation to promote Products or any restriction on the use of Confidential Proprietary Information, shall create: (i) any obligation not to research, develop, manufacture, commercialize or otherwise exploit any product; or (ii) any obligation to utilize a sales force for Products separate from sales forces for other products.

More Definitions of Confidential Proprietary Information

Confidential Proprietary Information means any information not generally known or previously published to the public by Richardson Electronics, Ltd. which concerns any of Richardson Electronics, Ltd.’s business or prospective future business. This includes, for example, non-public financial, business and operating information, budgets, sales or earnings forecasts, business and strategic plans, pricing information and contract terms, information about customer, supplier or prospects, marketing plans, new product or service information, and other proprietary business information and methods. Intellectual property assets are not limited to those in written form, but also include information in electronic form as well as information that may be held in the minds and memories of Richardson Electronics, Ltd. employees.

Confidential Proprietary Information means commercial or financial information received by the district (i) which is privileged or confidential; and (ii) the disclosure of which would cause substantial harm to the competitive position of the person that submitted the information.

Confidential Proprietary Information shall include any information owned by any party, as well as information developed by DOCRO in connection with services performed under this Agreement which shall be considered LEXON's confidential information, whether or not such information is in oral, written or other form, or was denominated or specifically identified as confidential when disclosed, observed or developed. Such information may include, but is not limited to commercial or technological plans, customer lists, discoveries, inventions, know-how, processes, software, suppliers, trade secrets, as well as any analytical chemical or biological specimens or prototypes.

Confidential Proprietary Information means any non-public proprietary information, including, but not limited to, the terms of this Agreement, information about fees, computer software, business procedures and manuals, data review criteria, Contract Provider databases and directories and Contract Rates. For purposes of this Agreement, Confidential Proprietary Information does not include: (a) information publicly available by means other than wrongful disclosure or lawfully obtained from third parties without any confidentiality obligations; (b) information which is required by law or by a government agency to be disclosed by a party, provided that such party immediately notifies the other party of the requirements for such disclosure and reasonably cooperates in obtaining any protective order desired by the other party with regard to such information; (c) information independently developed by the other party; or (d) information provided to the other party with the intention that it be published, disseminated, released or distributed by such other party to Members, Contract Providers, or to the general public.

Confidential Proprietary Information means any and all information that Micrel considers to be confidential and/or proprietary to Micrel existing as of the Settlement Date, including but not limited to the confidential and/or proprietary information that is the subject of the Litigation.
