Concurrent Offer definition

Concurrent Offer means each of thirteen similar offers that we are making in respect of Outstanding Securities, including this Offer in respect of the Existing Notes.
Concurrent Offer means (i) an offer made in accordance with section 2 of the Trust Agreement by JV Shareholder or a Third Party to the holders of Class B Shares to purchase Class B Shares on the same terms and conditions as a purchase by JV Shareholder or such Third Party under section 6.1; or (ii) an offer made in accordance with section 2 of the JV Trust Agreement by RCI, an Affiliate of RCI or by a Third Party to the holders of the Class B Shares to purchase Class B Shares on the same terms and conditions as a purchase by RCI, such Affiliate of RCI or such Third Party under section 7.1;

  • The Maximum Acceptance Amount will be US$120 million, although the Company reserves the right, in its sole discretion, to accept significantly more than or significantly less than the Maximum Acceptance Amount, or to accept none of such 2020 Notes, for purchase pursuant to the Concurrent Offer to Purchase.

  • Debtor shall furnish, at Debtor's sole cost and expense, to Secured Party, if requested, landlord's waivers of all liens with respect to any Collateral covered by this Agreement that is or may be located upon leased premises, such landlord's waivers to be in such form and upon such terms as are reasonably acceptable to Secured Party.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.

  • Concurrent Financing means the various third party financing arrangements the Company is executing pursuant to the agreements described on Schedule 2.1(c)(i) (the “Concurrent Financing”) separate and apart from the transactions contemplated by this Agreement.

  • Concurrent User means an employee of Customer who has been designated as a user within a group of authorized users of the Software and accesses the Software at any given point in time, either directly or through an application.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Grant Offer Letter means the letter the Authority issued to the Grant Recipient dated [ ], a copy of which is set out in Annex 1 Part A;

  • Concurrent Users means the number of users registered in the Software who are able to use the Software functionalities at the same time.

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Last best offer package means the offer exchanged by parties not less than 14 days prior

  • Net Proceeds Offer Amount has the meaning set forth in Section 4.16.

  • Offer means “proposals” in negotiation.

  • Net Proceeds Offer has the meaning provided in Section 4.16.

  • First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.

  • Consent Solicitation has the meaning set forth in Section 6.15(b).

  • Market/Offer Price means the highest of (i) the price per share of Common Stock at which a tender or exchange offer therefor has been made, (ii) the price per share of Common Stock to be paid by any third party pursuant to an agreement with Issuer, (iii) the highest closing price for shares of Common Stock within the six-month period immediately preceding the date the Holder gives notice of the required repurchase of this Option or the Owner gives notice of the required repurchase of Option Shares, as the case may be, or (iv) in the event of a sale of all or any substantial part of Issuer's assets or deposits, the sum of the net price paid in such sale for such assets or deposits and the current market value of the remaining net assets of Issuer as determined by a nationally recognized investment banking firm selected by the Holder or the Owner, as the case may be, and reasonably acceptable to Issuer, divided by the number of shares of Common Stock of Issuer outstanding at the time of such sale. In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Approved Sale has the meaning set forth in 2.1(d).

  • First Offer Period has the meaning set forth in Section 13.5.

  • Proposed Sale has the meaning set forth in Section 2.4(a).

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • First Offer Notice shall have the meaning set forth in Section 14.4(a).

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Discount Range Prepayment Offer means the written offer by a Lender, substantially in the form of Exhibit K, submitted in response to an invitation to submit offers following the Auction Agent’s receipt of a Discount Range Prepayment Notice.

  • Cash-Out Refinancing A Refinanced Mortgage Loan the proceeds of which were in excess of the principal balance of any existing first mortgage on the related Mortgaged Property and related closing costs, and were used to pay any such existing first mortgage, related closing costs and subordinate mortgages on the related Mortgaged Property.
