Completion Working Capital definition

Completion Working Capital has the meaning given to it in paragraph 1.1 of SCHEDULE 5.
Completion Working Capital means the Net Working Capital at Completion, as derived from the Completion Accounts and set out in the Working Capital Statement;
Completion Working Capital means the Working Capital as at immediately prior to Completion, calculated in accordance with the policies and procedures set out in Schedule 3 and comprising each of the line items identified in the net column headed “Working Capital” in Part C of Part 2 of Schedule 3;

Examples of Completion Working Capital in a sentence

  • The draft Completion Working Capital Statement shall be prepared in the form and include the items shown in Part 2 of this schedule and in accordance with the specific policies set out in Part 3 of this schedule.

  • Adjustment Amount the amount (if any) equal to the Completion Working Capital Balance minus the Target Working Capital Balance, plus Completion Net Debt.

  • Completion Working Capital shall be expressed in US dollars and amounts in other currencies shall be translated into US dollars at the Spot Rate.

  • Completion Accounts the accounts setting out Completion Working Capital Balance and Completion Net Debt, prepared as at the Effective Time in accordance with Schedule 7 and in the format set out in Schedule 8, together with such information required by Schedule 7 and Schedule 8.

  • The Completion Working Capital Statement shall be in the format set out in Part 3 of this Schedule.


More Definitions of Completion Working Capital

Completion Working Capital means the amount of consolidated net working capital of the Target Business in US Dollars as at the Effective Time as set out in the Completion Working Capital Statement;

Completion Working Capital means the Working Capital calculated in accordance with the provisions of Clause 2.4 below;
Completion Working Capital has the meaning set forth in Clause 8.11.1;
Completion Working Capital means the Working Capital as shown by the Final Completion Statement;
Completion Working Capital shall comprise all items included under the heading “Completion Working Capital” on the Completion Statements of the Group Companies as at close of business on the Completion Date as stated in the Completion Statements and in the form of the pro-forma attached at part 3 of schedule 7;
