Competitor Business definition

Competitor Business means any person or entity, which engages, or competes with the Company or any Company Affiliate, in any part of the Primary Service Area, in any aspect of the commercial banking business.
Competitor Business means (i) any business involving the acquisition or attempted acquisition "on a national basis" (as defined below) of new or used automobile dealerships, (ii) unless (A) Executive's employment is terminated by the Board without Cause or by Executive for Good Reason or (B) the Company does not offer to extend Executive's employment beyond the Termination Date in accordance with Section 2(a), any business that owns three or more new or used automobile dealerships in the same market (other than the greater Philadelphia market) in which any Investment Entity then owns, or is engaged in negotiations regarding the acquisition of, any new or used automobile dealerships, or (iii) any other business of the type being conducted by the Company which is or was engaged in the retail automobile dealership or used car dealership industries at the Termination Date. A business shall be deemed to involve the acquisition or attempted acquisition of new or used automobile dealerships "on a national basis" if it holds itself out as seeking to acquire, or if in the preceding three years it has acquired, new or used automobile dealerships in three or more states or provinces. The covenant contained in this Section 7 shall survive the termination of this Agreement.

If Mr. Pottruck accepts any such position or otherwise begins to a▇▇ ▇▇ ▇▇▇ ▇▇▇acity with a Competitor Business at any time prior to January 31, 2007 without the written authorization of Carrie Dwyer (or her designee), his Termination Date will be de▇▇▇▇ ▇▇ ▇▇ ▇he next business day following his acceptance of such position, all remaining payments, benefits and continued vesting of performance shares and stock options under this Agreement shall cease immediately and all performance shares described in Paragraph 2(v), stock options described in Paragraph 2(vi) and LTIP units described in Paragraph 2(vii) that have not vested as of his Termination Date will be forfeited and cancelled as if Mr. Pottruck had been terminated for cause under the terms of t▇▇ ▇▇▇▇▇▇▇▇▇e performance share and stock option agreements.
