Competition Event definition

Competition Event has the meaning given to it in clause 15.1(d) (Competition);
Competition Event means any act or activity by the Executive, directly or indirectly, which the Partnership deems, in its good faith judgment, to be a violation of Sections 4.1 and 4.2 hereof.
Competition Event means the closing of an acquisition by Guarantor, directly or indirectly, of any entity or business that markets and/or sells digital advertising on a third party publisher digital platform that is a Material Supplier of the Acquired Companies as of the Closing Date in an location within the countries in which the Business operates as of the Closing (i.e., Singapore, Thailand, the Philippines, Vietnam, India, Malaysia or Indonesia).

  • K.4.6 Effect of Provisional Suspension: A Participant who is subject to a Provisional Suspension may not, during the period of Provisional Suspension, participate in any capacity (or, in the case of a Player Support Person, assist a Player who is participating in any capacity) in any Competition, Event or other activity organised, convened, authorised or recognised by the LTA.

More Definitions of Competition Event

Competition Event has the meaning given to such term in Section 12(e).
Competition Event means any non-racing test of driving skill in which finishing position is determined solely by the ability to execute the course in the shortest time. This includes such events as hill climbs, autocrosses, time trials, slaloms and gymkhanas, as well as practice and training sessions for such events. Wheel-to-wheel racing is not covered by the National insurance policy and is not permitted under any circumstances.Autocrosses on public streets are prohibited. Hill Climbs and similar events may take place on a public street or road with prior approval of the NationalCompetition Chair and the AROC National President. The venue must be legally closed for the duration of the event and safely blocked off. Police protection to prevent entrance to the area by the general public may be required. A letter granting permission for the event must be secured from the governing body having authority over the road or street.
Competition Event shall occur if the Employee directly or indirectly (i) engages in the bulk trucking business, the bulk tank cleaning business or any other business in which the Company or any of its Subsidiaries are engaged as of the date hereof or the date of termination of the Employee's employment with the Company (collectively. the "Company Business") within the United States; (ii) competes or participates as agent, employee, consultant advisor, representative or otherwise in any enterprise which has any material operations engaged in the Company Business within the United States: or (iii) competes or participates as a stockholder, partner, member or joint venture, or has any direct or indirect financial interest, in any enterprise which has any material operations engaged in the Company Business within the United States, provided, however, that nothing contained herein shall prohibit the Employee from (A) owning, operating or managing any business, or acting upon any business opportunity, after obtaining approval of a majority of the Board and a majority of the independent members of the Board (if any), (B) owning no more than five percent (5%) of the equity of any publicly waded entity with respect to which the Employee does not serve as an officer. director, employee, consultant or in any other capacity other than as an investor or (C) being employed by a business that engages in the Company Business but whose principal business is not the Company Business, if the Employee's involvement is limited to those operations that are not the Company Business. The Employee acknowledges that irreparable damage would occur in the event of a breach of the provisions of this Non-Compete Covenant by the Employee. It is accordingly agreed that in addition to any other remedy to which it is entitled at law or in equity, the Company shall be entitled to an injunction or injunctions to prevent breaches of the provisions of this Non-Compete Covenant and to enforce specifically the terms of such provisions.
