Compensation Warrant Certificate definition

Compensation Warrant Certificate means the certificate representing the Compensation Warrants;
Compensation Warrant Certificate means the warrant certificate to be executed by the Company evidencing the Compensation Warrants in form and substance satisfactory to the Company and the Agents; "due inquiry", when used in relation to the Company, means after inquiries have been made of the appropriate officers, employees and directors of the Company who may reasonably be expected to have knowledge of facts which are material with respect to the fact in question;
Compensation Warrant Certificate means the certificate to which these Terms and Conditions are attached and of which these Terms and Conditions form a part;

Examples of Compensation Warrant Certificate in a sentence

  • If any one or more of the provisions or parts thereof contained in this Compensation Warrant Certificate should be or become invalid, illegal or unenforceable in any respect in any jurisdiction, the remaining provisions or parts thereof contained herein shall be and shall be conclusively deemed to be, as to such jurisdiction, severable therefrom.

  • This Compensation Warrant Certificate is not valid for any purpose whatsoever unless and until it has been signed by or on behalf of the Corporation.

  • Accordingly, the adjustment provisions of this Compensation Warrant Certificate shall be interpreted and applied in accordance with such purpose and intent.

  • Because the powering source is located near the edge of the dense filament, there is more dense gas in the eastern lobe to be heated (and therefore being detected) than in the western lobe.

  • All notices or other communications to be given under this Compensation Warrant Certificate shall be delivered by hand or by email and, if delivered by hand, shall be deemed to have been given on the delivery date and, if sent by email, on the date of transmission if sent before 4:00 p.m. (Toronto time) on a Business Day or, if such day is not a Business Day, on the first Business Day following the date of transmission.

  • This Compensation Warrant Certificate shall enure to the benefit of the Holder and its successors and shall be binding on the Corporation and its successors.

  • The Corporation hereby covenants and agrees that it will do, execute, acknowledge and deliver, or cause to be done, executed, acknowledged and delivered, all and every such other act, deed and assurance as the Holder shall reasonably require for the better accomplishing and effectuating of the intentions and provisions of this Compensation Warrant Certificate.

  • The Corporation hereby represents and warrants that this Compensation Warrant Certificate is a valid and enforceable obligation of the Corporation, enforceable in accordance with the provisions of this Compensation Warrant Certificate.

Related to Compensation Warrant Certificate

  • Warrant Certificate means a certificate, substantially in the form set forth in Schedule “A” hereto, to evidence those Warrants that will be evidenced by a certificate;

  • holder of a Warrant Certificate as used herein shall mean any person in whose name at the time any Warrant Certificate shall be registered upon the books to be maintained by the Warrant Agent for that purpose.

  • Warrant Agent Agreement means that certain Warrant Agent Agreement, dated as of the Initial Exercise Date, between the Company and the Warrant Agent.

  • Warrant Exercise Price means $0.04 per share.

  • Warrant means this Warrant and all Warrants issued in exchange, transfer or replacement thereof.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Initial Warrant Exercise Date means __________, 1997.

  • Warrant Stock means Common Stock issuable upon exercise of any Warrant or Warrants or otherwise issuable pursuant to any Warrant or Warrants.
