Company Person definition

Company Person means any person who is an employee of or consultant to the Company or any of its Subsidiaries as of the Termination Date.
Company Person means (i) Whitehall, (ii) the Managing Member, (iii) any and all affiliates and subsidiaries of the Company, Whitehall and the Managing Member and any and all indirect and direct holders of beneficial interests in the Company, Whitehall or the Managing Member and (iv) in respect of each person specified in clauses (i), (ii) and (iii), each such person's respective directors, officers, partners, members, employees, controlling persons, agents and representatives; provided, however, that in no event shall the Company be a Company Person.
Company Person means (i) Whitehall, (ii) the Company, (iii) Whitehall XI, (iv) any and all Affiliates and Subsidiaries of the Company, or of Whitehall or of Whitehall XI and any and all indirect and direct holders of beneficial interests in the Company, or in Whitehall or of Whitehall XI and (v) in respect of each Person specified in clauses (i), (ii), (iii) and (iv), each of their respective directors, officers, partners, members, employees, controlling persons, agents and representatives.

More Definitions of Company Person

Company Person means the Company and each of the directors and officers of the Company.
Company Person is defined as a person known to Employee to be a partner, principal, member, employee, officer, director or consultant of the Company, its successors or assigns.
Company Person means the Company or a Subsidiary. “Continuous Service” means that the applicable Participant’s service with a Company Person, whether as an employee, director or consultant, is not interrupted or terminated. Such Participant’s Continuous Service will not be deemed to have terminated merely because of a change in the capacity in which such Participant renders service to a Company Person as an employee, consultant or director or a change in the Company Person for which such Participant renders such service, provided that there is no interruption or termination of such Participant’s Continuous Service. For example, a change in status from an employee of the Company to a consultant of a Subsidiary or a director will not constitute an interruption of Continuous Service. The Committee or the chief executive officer of the Company, in that party’s sole discretion, may determine whether Continuous Service will be considered interrupted in the case of any leave of absence approved by that party, including sick leave, military leave or any other personal leave.
Company Person has the meaning set forth in Section 5.15.
Company Person is defined as a person known to Executive to be a partner, principal, member, employee, officer, director of the Company, its parent and/or subsidiary corporations, or their affiliates, successors or assigns. Executive further agrees that, for a period of one year following the Completion Date, he will not, without the prior written consent of the Board, directly or indirectly use any Company trade secret, Confidential Information, proprietary information, knowledge or data to solicit, induce, or attempt to solicit or induce any person, firms, corporations or entities which were the Company’s customers during the time of his employment with the Company to enter into business arrangements with him or any entity or person with whom he is employed or otherwise affiliated with respect to products or services competitive with those offered or proposed to be offered by the Company on the Completion Date.
Company Person means Company and its agents, representatives, contractors, vendors, subsidiaries, direct and indirect owners and affiliates (and any successor or assignee of any of the foregoing Persons) to the extent the foregoing Persons or entities are not the EPC Contractor Persons.
