Company Expense Reimbursement definition

Company Expense Reimbursement has the meaning set forth in Section 8.3(f).
Company Expense Reimbursement means the amount of all reasonable, documented out-of-pocket expenses, not to exceed $3,000,000 in the aggregate, incurred in connection with the transactions contemplated by this Agreement by the Company and its Affiliates.

  • Notwithstanding anything to the contrary in this Section 7.3(c), in the event that both the Company Stockholder Approval and the Parent Shareholder Approval have not been obtained at the Company Stockholders’ Meeting and the Parent Shareholders’ Meeting, respectively, neither the Company nor Parent shall be entitled to receive the Company Expense Reimbursement or the Parent Expense Reimbursement, respectively.

  • The Company Termination Fee shall be in addition to any Company Expense Reimbursement payable by the Company to the Purchaser.


More Definitions of Company Expense Reimbursement

Company Expense Reimbursement means an amount equal to the aggregate amount of all Expenses of the Company; provided, however, that such amount shall not exceed $3,250,000.
