The Company covenants to the Holder that, from the date hereof until the earlier of its IPO or until all amounts owing hereunder have been paid in full or this Note has been converted, the Company shall not, without the prior written consent of the Majority Note Holders, make any declaration or payment of dividends or other distributions, redemption or repurchase or any other payment on or with respect to any Company Equity Securities other than the Notes.
Such repurchase shall be effected on the tenth Business Day following the delivery of the Notice of Disapproval, and on such date the Company shall pay to Altria or its designee the aggregate purchase in respect of all Company Equity Securities beneficially owned by the Altria Group and, upon payment of such purchase price, the Company shall cancel all of such Company Equity Securities.
Such notice shall specify the Company Equity Securities the Company proposes to issue, the proposed date of issuance, the consideration that the Company intends to receive therefor and all other material terms and conditions of such proposed issuance.
Prior to the Government Loan Termination Date, any Company Equity Securities held by Fiat in excess of 35% of the fully diluted Company Equity Securities, by vote and value, shall be placed in a voting trust organized pursuant to a voting trust agreement in the form of Exhibit A, whose sole trustee has been approved by the US Treasury.
