Company Customers and Prospects definition

Company Customers and Prospects means those customers of Company as of Closing together with (1) those persons that, during the Applicable Period, purchase any product that was developed or marketed by Company prior to the Closing Date, and (2) those persons that, based on the sales and marketing efforts of Company conducted during the six (6) months before Closing were reasonably considered to be prospective customers of Company before Closing and that become license and maintenance customers of Parent or Surviving Corporation following Closing (whether with respect to sales of Parent's or Company's products). As of the Determination Date, the Company Customers and Prospects consists of only those persons listed on Schedule 3.1(c). Prior to Closing, Company shall, subject to Parent's review and acceptance, prepare a revised list of Company Customers and Prospects that represents the persons that should, as of Closing (or as near to Closing as such information may practicably be determined), be listed on Schedule 3.2(c) in accordance with the foregoing criteria.

  • Company Customer means a person or entity for whom the Company or any of its Subsidiaries was providing services either at the time of, or at any time within the twelve (12) months preceding the Termination Date, and for whom the Participant had direct contact with and/or carried out or oversaw a material business responsibility during said twelve (12) month period or about whom the Participant had exposure to or received Confidential Information as a result of the Participant’s employment with the Company or any of its Subsidiaries.

  • Top Customers has the meaning specified in Section 4.28(a).

  • Significant Customers shall have the meaning set forth in Section 3.19.

  • Business Relationship Strength for the purpose of this RFP shall mean the definition and commitment of the respondent towards a mutually successful “relationship” between the selected contractor and HCC for the duration of the contract. Respondent’s Statement of Qualification must include their definition, proposal and commitment to forge, foster and maintain a mutually successful “relationship” with HCC.   • Established business relationship means a relationship between a seller and a consumer based on:

  • Suppliers means any person or entity, including affiliates of the Company, who locates, purchases, sells, stores and/or transports natural gas or its equivalent for or on behalf of the Company. Suppliers may include, but not be limited to, interstate pipeline transmission companies, producers, brokers, marketers, associations, intrastate pipeline transmission companies, joint ventures, providers of LNG, LPG, SNG, and other hydrocarbons used as feed-stock, other distribution companies and end-users.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Representative of a prospective contractor means an officer or director of a corporation, a member or manager of a limited liability corporation, a partner of a partnership or a trustee of a trust of the prospective contractor.

  • Target Companies means the Company and its Subsidiaries.

  • Existing Customer means an individual who has purchased goods or services from a person, who is the recipient of a voice communication from that person, and who either paid for the goods or services within the 12 months preceding the voice communication or has not paid for the goods and services at the time of the voice communication because of a prior agreement between the person and the individual.

  • Prospective contractor means a person who is subject to the competitive sealed proposal process set forth in the Procurement Code or is not required to submit a competitive sealed proposal because that person qualifies for a sole source or a small purchase contract.
