Company Closing Price definition

Company Closing Price means the volume weighted average closing trading price of a share of Company Common Stock for the five consecutive trading days ending five trading days immediately prior to the date upon which the Merger becomes effective.
Company Closing Price means the weighted average trading price per share of the Company Common Stock on the New York Stock Exchange (composite transactions list) for all transactions occurring on the Closing Date. If the Aggregate Cash Amount as so calculated would exceed 60% of the Aggregate Consideration, the Company shall decrease the Cash Election Number thereby increasing the aggregate number of shares of IRT Common Stock to be exchanged for Company Common Stock in the Merger at the Exchange Ratio on a proportionate basis such that the Aggregate Cash Amount would not exceed 60% of the Aggregate Consideration (the "Tax Adjustment").
Company Closing Price means the closing price for a share of Company Common Stock on the NASDAQ (as reported in The Wall Street Journal, or, if not reported thereby, any other authoritative source) on the Business Day immediately preceding the Closing Date. Parent shall issue (or cause to be issued) the Company Stock Option Consideration as determined in accordance with this Section 2.3(a) to such holder as soon as practicable (and no later than thirty (30) days) following the Effective Time. The right of a holder of any Company Stock Option to receive the Company Stock Option Consideration shall be subject to and reduced by the amount of any withholding under the Code or any provision of federal, state, local or foreign Tax Laws as described above.
