Company and Sellers. Prior to the Closing, each Seller shall promptly notify Purchaser in writing if it becomes aware of any fact or condition that (i) causes or constitutes a breach of any representation or warranty set forth in Section 3.1 or (ii) would have caused or constituted a breach of any such representation or warranty had such representation or warranty been made as of the time of occurrence or discovery of such fact or condition. Should any such fact or condition require any change in Sellers’ Disclosure Schedule, Sellers shall promptly deliver to Purchaser a supplement to Sellers’ Disclosure Schedule specifying such change. During the same period, each Seller shall promptly notify Purchaser of the occurrence of any breach of any covenant of Sellers or of the occurrence of any event that would reasonably be expected to make the satisfaction of the conditions set forth in ARTICLE V impossible or unlikely.
