Company Advances definition

Company Advances means (a) advances made by or on behalf of the Company to fund Borrower Reimbursable Costs or Post-Acquisition Costs, but shall not include, without the prior written consent of Participant (in Participant’s sole and absolute discretion), any such advances for fees, costs, expenses or indemnified amounts (i) that are not incurred in accordance with the Xxxxxx Xxx Guidelines governing such types of expenditures (including compliance with timelines provided for therein), if applicable, or if the Xxxxxx Mae Guidelines are not applicable, are not otherwise reasonable and customary fees and expenses standard in the industry with respect to the type of loan with respect to which such were incurred, or (ii) except as is otherwise expressly permitted pursuant to this Agreement, that are paid to any Affiliate of the Company, or any Affiliate of either the Servicer or any Subservicer, or (iii) that are incurred to pay fees or other compensation to or expenses of financial advisers; (b) Advances (regardless of whether such advances meet the requirements of clause (a)) that are reimbursed by the Company to the Receiver; (c) Pre-Approved Charges; (d) fees and expenses of a Qualified Custodian retained pursuant to the Custodial Agreement; (e) the Management Fee; and (f) to the extent not covered by any of clauses (a) through (e), legal fees and expenses (including judgments, settlements and reasonable attorneys fees) incurred by the Company in its defense of claims asserted against it that relate to one or more Loans, and (x)arise out of the acts or omissions of the Failed Bank or the Receiver in connection with the origination or servicing of such Loans prior to the Servicing Transfer Date, or (y) allege, as the basis for such claims, any act or omission of the Company (or its Servicer) and such claims are decided (and there are final non-appealable orders) in favor of the Company (or its Servicer).

  • Emergency Advance Any Property Advance that, pursuant hereto, the Special Servicer is required to either (a) make (in its sole discretion in accordance with the Servicing Standard) or (b) to request the Master Servicer to make, that must be made in an emergency situation or on an urgent basis within two (2) Business Days of the Special Servicer becoming aware that it must be made in order to avoid any material penalty, any material harm to a Mortgaged Property securing a Mortgage Loan or any other material adverse consequence to the Trust Fund or any related Companion Loan Holder.

  • Committed Advance means an advance made by a Lender to a Borrower as part of a Committed Borrowing and refers to a Base Rate Advance or a Eurodollar Rate Committed Advance, each of which is a “Type” of Committed Advance.

  • Servicer Advance or "Servicing Advance" as defined in the applicable Purchase and Servicing Agreement.

  • Permitted Advance means an advance of funds by the Assuming Bank with respect to a Shared-Loss Loan, or the making of a legally binding commitment by the Assuming Bank to advance funds with respect to a Shared-Loss Loan, that (i) in the case of such an advance, is actually made, and, in the case of such a commitment, is made and all of the proceeds thereof actually advanced, within one (1) year after the Commencement Date, (ii) does not cause the sum of (A) the book value of such Shared-Loss Loan as reflected on the Accounting Records of the Assuming Bank after any such advance has been made by the Assuming Bank plus (B) the unfunded amount of any such commitment made by the Assuming Bank related thereto, to exceed 110% of the Book Value of such Shared-Loss Loan, (iii) is not made with respect to a Shared-Loss Loan with respect to which (A) there exists a related Shared-Loss Loan Commitment or (B) the Assuming Bank has taken a Charge-Off and (iv) is made in good faith, is supported at the time it is made by documentation in the Credit Files and conforms to and is in accordance with the applicable requirements set forth in Article III of this Commercial Shared- Loss Agreement and with the then effective written internal credit policy guidelines of the Assuming Bank; provided, that the limitations in subparagraphs (i), (ii) and (iii) of this definition shall not apply to any such action (other than to an advance or commitment related to the remediation, storage or final disposal of any hazardous or toxic substance, pollutant or contaminant) that is taken by Assuming Bank in its reasonable discretion to preserve or secure the value of the collateral for such Shared-Loss Loan.

  • Affected Loans as defined in Section 2.18(b).
