Common Stock Per Share Amount definition

Common Stock Per Share Amount means $2.15 payable in United States Dollars.

Common Stock Per Share Amount means an amount equal to the result of the following calculation:

• No interest will be paid or accrued on the Common Stock Per Share Amount, Preferred Stock Per Share Amount, Company Warrant Cash-Out Amount or Company Note Cash-Out Amount as applicable, payable upon surrender of any Certificate.

• Each vested Company Option outstanding as of immediately prior to the Effective Time shall be cancelled and the holder thereof shall have the right to receive, in respect of each such vested Company Option, an amount of cash equal to (x) the excess of the Common Stock Per Share Amount over the per share exercise price of such vested Company Option, m ultiplied by (y) the aggregate number of shares of Company Common Stock subject to such vested Company Option for which it has not been exercised.

• Each share of Company Common Stock outstanding as of immediately prior to the Effective Time shall be converted into the right to receive an amount of cash equal to the Common Stock Per Share Amount.

More Definitions of Common Stock Per Share Amount

Common Stock Per Share Amount means an amount equal to (i) Five Million Nine Hundred Fifty Thousand Dollars ($5,950,000) in cash, plus the Aggregate Exercise Price, divided by (ii) the Fully-Diluted Common Stock.

Common Stock Per Share Amount means the quotient obtained by dividing (1) the sum of the total Merger Consideration (subject to adjustment as provided herein) and the Option Spread, by (2) the Fully Diluted Number.

Common Stock Per Share Amount set forth in Exhibit A of Merger Agreement shall be deleted and replaced in its entirety by the following:
