Common Group definition

Common Group means five or fewer persons related in some manner. This subsection shall not apply to common stock acquired by C. Xxxxxxx Xxxxxxxxx or Xxxxxx Xxxxxxxx.

More Definitions of Common Group

Common Group means any Group that has a Common Shareholder as a member thereof; provided however, that the Company and SoftLock Services, Inc. shall not be considered a part of any Common Group. COMMON SHAREHOLDERS shall mean the persons listed on Schedule II hereto. COMMON STOCK shall mean the Company's common stock, par value $0.01 per share. CONVERSION SHARES shall mean, at any time, (i) the issued and outstanding shares of Preferred Stock (for purposes of calculating the number of Conversion Shares at any time, each such share shall be deemed to be that number of shares of Common Stock or other securities into which such share is then convertible), (ii) the shares of Common Stock issued upon conversion of the issued and outstanding shares of Preferred Stock owned as of the date hereof by the Preferred Shareholders, and (iii) any securities issued or issuable directly or indirectly in respect of the aforesaid shares of Common Stock or Preferred Stock, or both, in payment of a dividend or in connection with a stock split, recapitalization or other similar event.

Related to Common Group

  • Aggregation Group means either a Required Aggregation Group or a Permissive Aggregation Group as hereinafter determined.

  • Comparison Group means a sample group of organisations providing Comparable supply of Services which consists of organisations which are either of similar size to the Supplier or which are similarly structured in terms of their business and their service offering so as to be fair comparators with the Supplier or which, are best practice organisations;

  • Required Aggregation Group means: (i) each qualified plan of the Employer in which at least one Key Employee participates at any time during the Determination Period; and (ii) any other qualified plan of the Employer which enables a plan described in clause (i) to meet the requirements of Code Section 401(a)(4) or of Code Section 410.

  • Permissive Aggregation Group means the Required Aggregation Group of plans plus any other plan or plans of the Employer which, when considered as a group with the Required Aggregation Group, would continue to satisfy the requirements of Code Sections 401(a)(4) and 410.

  • Risk retention group means any corporation or other limited liability association:

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Control Group means the Company and its Affiliates.

  • Controlled group of corporations has the meaning set forth in Code Section 1563.

  • Defined Benefit Plan Fraction means a fraction, the numerator of which is the projected annual benefit (determined as of the close of the relevant Plan Year) of the Participant under all Defined Benefit Plans maintained by one or more Related Companies, and the denominator of which is the lesser of (i) the product of 1.25 multiplied by the dollar limitation in effect under Section 415(b)(1)(A) of the Code for the Plan Year, or (ii) the product of 1.4 multiplied by the amount which may be taken into account under Section 415(b)(1)(B) of the Code with respect to the Participant for the Plan Year.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Defined Benefit Plan means each Benefit Plan which is subject to Part 3 of Title I of ERISA, Section 412 of the Code or Title IV of ERISA.

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Medical benefit plan means a plan established and maintained by a carrier, a voluntary employees' beneficiary association described in section 501(c)(9) of the internal revenue code of 1986, 26 USC 501, or by 1 or more public employers, that provides for the payment of medical benefits, including, but not limited to, hospital and physician services, prescription drugs, and related benefits, for public employees or elected public officials. Medical benefit plan does not include benefits provided to individuals retired from a public employer or a public employer's contributions to a fund used for the sole purpose of funding health care benefits that are available to a public employee or an elected public official only upon retirement or separation from service.

  • Affiliated group of corporations means an affiliated group as defined in section 1504 of the Internal Revenue Code, except that, if such a group includes at least one incumbent local exchange carrier that is primarily engaged in the business of providing local exchange telephone service in this state, the affiliated group shall not include any incumbent local exchange carrier that would otherwise be included in the group.

  • Group health benefit plan means any health care plan, subscription contract, evidence of

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Pooled fund group means an internally created fund of a district in which one or more institutional accounts of a district are in- vested.

  • ESOP means a Plan that is intended to satisfy the requirements of Section 4975(e)(7) of the IRC.
