Committed Shares definition

Committed Shares means the Shares specified in the Schedule hereto, including any Shares deriving from the rights set out in column 4 of that Schedule;

Committed Shares means the Ordinary Shares and/or American Depositary Shares of the Company particulars of which are set out in Part 1 of Schedule 1 and shall include any Ordinary Shares and/or American Depositary Shares of the Company attributable to or deriving from such securities;

Committed Shares means, with respect to each Stockholder, Shares of such Stockholder equal in number to the sum of (x) the number set forth in the column labeled “Subject Shares” on Exhibit A hereto corresponding to each Stockholder’s name thereon plus (y) such Stockholder’s “Pro Rata Shares”. “Pro Rata Shares” means, with respect to each Stockholder, Shares of such Stockholder equal in number to the product of:

Examples of Committed Shares in a sentence

• I shall not, and shall procure that my relevant bank, broker or other nominee shall not, exercise any voting rights attaching to the Committed Shares to vote in favour of any competing scheme of arrangement.

• In order to secure the performance of my obligations under this Deed, I irrevocably appoint any director of Aon jointly and severally to be my attorney in my name and on my behalf to sign or execute forms of proxy and/or such other deeds or documents and to do such other acts and things as may be necessary for the purpose of giving effect to my obligations under this Deed in respect of the Committed Shares.

• The Initial Subscribers each agreed to purchase 46,875,000 ordinary shares (the “Committed Shares”) under the Private Placement, subject to their right to engage dealers to find substituted purchasers to purchase all or a portion of the Committed Shares.

• In connection with their commitment to subscribe for the Committed Shares, the Company granted 15,000,000 compensation options to the Initial Subscribers, entitling the holder to purchase one ordinary share for $0.25 until February 1, 2020.

• This Deed does not and will not constitute an offer, undertaking or commitment of any kind by the Purchaser to purchase all or any of the Committed Shares.

Committed Shares. ’ means the 359,218,770 Peoples Shares beneficially owned by China Resources and the 133,382,831 Peoples Shares beneficially owned by Michael Leung, which are subject to the Irrevocable Undertakings;

Committed Shares means the 128,441 Offeree Shares held by us in the manner referred to in paragraph 1 of this undertaking together with any other securities in Offeree issued or unconditionally allotted to us, or otherwise acquired by us after the date of this undertaking;

Committed Shares means those Offeree Shares held in the manner referred to in paragraph 1 of this undertaking together with any other securities in the Offeree issued or unconditionally allotted to me or my Connected Persons, orotherwise acquired by me or my Connected Persons after the date of this undertaking;

Committed Shares means all Ordinary Shares and/or options, warrants and other rights as may be held in the manner referred to in paragraph 1 of this undertaking together with any other securities (including any rights to securities) in the Company issued or unconditionally allotted to me, or otherwise acquired by me and/or in relation to which I become registered holder and/or beneficial owner on or after the date of this undertaking;

Committed Shares has the meaning set forth in Section 4.2(a).

Committed Shares means the Offeree Shares [and the Beneficial Offeree Shares] held in the manner referred to in paragraph 2 of this undertaking, together with any other securities in Offeree issued or unconditionally allotted to me, or otherwise acquired by me and/or in relation to which I become registered holder and/or beneficial owner on or after the date of this undertaking;

Committed Shares means 1,204,776 Brit Shares held by me in the manner referred to in clause 1 of this Undertaking together with any other securities in Brit issued or unconditionally allotted to me or my Connected Persons, or otherwise acquired by me or my Connected Persons after the date hereof;
