Committed Investment. ’ means the infrastructure investment in the Northwest Parkway toll
Committed Investment the amount of the share capital and of any Subordinate Debt that is payable by the Initial Shareholders and the Lenders Subordinate of the Contractor, in view of financing the implementation of the Contractor‟s Project, including any kind of financial obligation on his part.

More Definitions of Committed Investment

Committed Investment means (a) any form of direct investment by Equity Members, including the purchase of equity shares in and/or the provision of Equity Members Debt to Concessionaire and/or (b) an irrevocable on-demand letter of credit issued by or for the account of an Equity Member naming Concessionaire as beneficiary, satisfying the requirements of Sections 17.3.2.1, 17.3.2.2, 17.3.2.5 and 17.3.2.6 of the Agreement and guaranteeing the provision of the direct investment referenced in clause (a) of this definition by a date which is not later than one year after the Baseline Final Acceptance Date. Equity that does not result in direct investment in the Bid Financial Model (for example contingent or stand-by equity) shall not be considered Committed Investment.
Committed Investment shall have the meaning ascribed thereto in Clause 1.1(ddddd)(iii).
Committed Investment means an Investment which is subject to a letter of intent which is entered into by the Partnership or an Investment Vehicle on or prior to the end of the Investment Period and which is intended to be closed not more than 60 days after the end of the Investment Period.

"Contribution Account Balance" for the purpose of determining ADOCAB for calculating Preferred Returns and Asset Management Fees, Contribution Account Balance shall mean the cumulative sum of all Capital Contributions of a Partner minus the cumulative sum of all distributions to such Partner pursuant to Section 6.1(b)(ii).
Committed Investment has the meaning set forth in Exhibit Z (Calculation of Termination Compensation).
Committed Investment means (a) any form of direct investment by Equity Members, including the purchase of equity shares in the Development Entity; (b) any bona fide indebtedness of the Development Entity for funds borrowed that: (i) is held by any Equity Member and (ii) is subordinated in priority ofpayment and security to all debt held by Persons who are not Equity Members; or (c) an irrevocable on- demand letter of credit issued by or for the account of an Equity Member naming the Development Entity as beneficiary and guaranteeing the provision of the direct investment or loan referenced in clause (a) or(b) of this definition.

("Fitch") or (vi) demand and time deposits in, certificates of deposit of, any depository institution or trust company (which may be an affiliate of the Company) incorporated under the laws of the United States of America or any state thereof and subject to supervision and examination by federal and/or state banking authorities, so long as at the time of such investment either (x) the long-term debt obligations of such depository institution or trust company have a rating of at least AA by Fitch or S&P, (y) the certificate of deposit or other unsecured short-term debt obligations of such depository institution or trust company have a rating of at least F-1 by Fitch or A-1 by S&P or (z) the depository institution or trust company is one that is acceptable to either Fitch or S&P and, for each of the preceding clauses (i), (iv), (v) and (vi), the maturity thereof shall be not later than the earlier to occur of (A) 30 days from the date of the related investment and (B) the next succeeding Distribution Date as defined in the related Pooling and Servicing Agreement.

  • Restricted Investment means an Investment other than a Permitted Investment.

SSB. State Street Bank and Trust Company of Connecticut, National Association, a national banking association or any successor Owner Trustee in its individual capacity.

  • Investments as defined in Section 7.8.

  • Liquid Investments means (a) readily marketable direct full faith and credit obligations of the United States of America or obligations unconditionally guaranteed by the full faith and credit of the United States of America; (b) commercial paper issued by (i) any Lender or any Affiliate of any Lender or (ii) any commercial banking institutions or corporations rated at least P-1 by Moody’s or A-1 by S&P; (c) certificates of deposit, time deposits, and bankers’ acceptances issued by (i) any of the Lenders or (ii) any other commercial banking institution which is a member of the Federal Reserve System and has a combined capital and surplus and undivided profits of not less than $250,000,000 and rated Aa by Moody’s or AA by S&P; (d) repurchase agreements which are entered into with any of the Lenders or any major money center banks included in the commercial banking institutions described in clause (c) and which are secured by readily marketable direct full faith and credit obligations of the government of the United States of America or any agency thereof; (e) investments in any money market fund which holds investments substantially of the type described in the foregoing clauses (a) through (d); (f) readily and immediately available cash held in any money market account maintained with any Lender; provided that, such money market accounts and the funds therein shall be unencumbered and free and clear of all Liens and other third party rights other than a Lien in favor of the Administrative Agent pursuant to the Security Documents; and (g) other investments made through the Administrative Agent or its Affiliates and approved by the Administrative Agent. All the Liquid Investments described in clauses (a) through (d) above shall have maturities of not more than 365 days from the date of issue.

  • Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company.

  • Liquidity Account Investments means Deposit Securities or any other security or investment owned by the Fund that is rated not less than A3 by Moody’s, A- by Standard & Poor’s, A- by Fitch or an equivalent rating by any other NRSRO (or any such rating’s future equivalent) or if not rated, determined by the Adviser to be of comparable quality.
