Combined Financial Statements definition

Combined Financial Statements means the audited combined financial statements of the Company for the years ended October 31, 2016 and October 31, 2017, respectively, as appended to this Prospectus at Schedule “A”.
Combined Financial Statements means “Combined Financial Statements for the Year Ended 31 December 2018” and/or “Combined Financial Statements for the Six Months Ended 30 June 2019”, as applicable;

Combined Financial Statements has the meaning set forth in Section 5.9.
Combined Financial Statements means statements of financial performance, statements of cash flow and statements of financial position together with statements, reports and notes (including, without limitation, directors’ reports and auditors’ reports (if any)) attached to or intended to be read with any of those statements, in relation to the Group as a consolidated entity, prepared in accordance with GAAP.
Combined Financial Statements of the Group means the financial statements reflecting the combined financial statements of Flexsys Holding B.V. (and its Subsidiaries), Flexsys Rubber Chemicals Limited and Flexsys America L.P. (calculated in accordance with GAAP).
Combined Financial Statements shall have the meaning set forth in Article 6.7.2 of this Agreement.
Combined Financial Statements means the unaudited pro forma combined balance sheet of the Janus Living Predecessor (as set forth in the Form S-11) for the fiscal period ended December 31, 2025, and the related combined statement of operations for such fiscal year of the Janus Living Predecessor, including the notes thereto as set forth in the Form S-11.
Combined Financial Statements means the combined financial statements of the Chello Group, including, for the avoidance of doubt, the Chello Group’s unconsolidated investments in each JV Company:
