  • All Liabilities retained or assumed by or allocated to CombiMatrix or any member of the CombiMatrix Group pursuant to this Agreement will be deemed to be solely the Liabilities of CombiMatrix, and all Liabilities retained or assumed by or allocated to Acacia or any or any member of the Acacia Group pursuant to this Agreement will be deemed to be solely the Liabilities of Acacia, and, in each case, will be subject to the indemnification provisions set forth in Article IV of the Distribution Agreement.

  • On or promptly after the Time of Distribution, CombiMatrix will take such actions as may be required to change the names of all employee benefit plans sponsored or maintained by CombiMatrix or any member of the CombiMatrix Group to eliminate therefrom any reference to “Acacia”, “Acacia Research”, “Acacia Technologies” or any derivative thereof.

  • Notwithstanding the foregoing provisions of this Section 2.4(a)(i), the Corporation shall redeem shares of a class of Common Stock as provided by Section 2.4(a)(i)(1)(B)(I) or (II) only if the amount to be paid in redemption of such stock is less than or equal to the CombiMatrix Group Available Dividend Amount as of the Redemption Date.

  • CombiMatrix will cause all of its employees and directors and all of the employees and directors of each other member of the CombiMatrix Group to resign, effective not later than the Time of Distribution, from all boards of directors or similar governing bodies of Acacia or any other member of the Acacia Group on which they serve, and from all positions as officers of Acacia or any other member of the Acacia Group in which they serve, except as otherwise specified on Schedule 2.05.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SpinCo shall have the meaning set forth in the Preamble.

  • ITT has the meaning given to it in the recitals to this Framework Agreement;

  • Broadridge means Broadridge Financial Solutions, Inc.;

  • Nonpoint source means any source of pollutants other than those defined or designated as point sources.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • ESI means any and all computer data or electronic recorded media of any kind, including “Native Files”, that are stored in any medium from which it can be retrieved and examined, either directly or after translation into a reasonably useable form. ESI may include information and/or documentation stored in various software programs such as: Email, Outlook, Word, Excel, Access, Publisher, PowerPoint, Adobe Acrobat, SQL databases, or any other software or electronic communication programs or databases that the CONSULTANT may use in the performance of its operations. ESI may be located on network servers, backup tapes, smart phones, thumb drives, CDs, DVDs, floppy disks, work computers, cell phones, laptops or any other electronic device that CONSULTANT uses in the performance of its Work or SERVICES hereunder, including any personal devices used by the CONSULTANT or any sub-consultant at home. “Native files” are a subset of ESI and refer to the electronic format of the application in which such ESI is normally created, viewed, and /or modified. The CONSULTANT shall include this section XX “Records Maintenance” in every subcontract it enters into in relation to this AGREEMENT and bind the sub-consultant to its terms, unless expressly agreed to otherwise in writing by the AGENCY prior to the execution of such subcontract.
