Collaboration Invention definition

Collaboration Invention means any new Know-How developed or acquired pursuant to this Agreement during the Term by or on behalf of either Party or the Parties jointly, or derived by or on behalf of a Party through use of the other Party’s Confidential Information.
Collaboration Invention is defined in Section 6.1(a).
Collaboration Invention means any invention or discovery, whether or not patentable (including a modification, improvement or new use), that is first conceived or reduced to practice pursuant to Halozyme’s activities, Intrexon’s activities or both partiesjoint activities that is related to the Intrexon Biologic, the PH20 Drug and/or the combination of both, in each case during the term of this Agreement and in connection with work conducted under the Workplan.

Examples of Collaboration Invention in a sentence

  • In the event that either Party to this agreement intends to overcome a rejection of a claimed Collaboration Invention pursuant to the provisions of 35 USC §103(c)(2), such party shall first obtain the prior written consent of the other Party.

  • Any determination of inventorship with respect to any Collaboration Invention shall be made in accordance with the applicable United States patent laws.

  • If AstraZeneca desires FibroGen to file, in a particular jurisdiction in the Territory, a FibroGen Patent that claims priority to (or is based on the subject matter of) another FibroGen Patent, or that claims a Collaboration Invention, AstraZeneca shall provide written notice to FibroGen requesting that FibroGen file such patent application in such jurisdiction.

  • The inventorship of any Collaboration Invention shall be determined in accordance with United States patent laws.

  • Genentech and Corvus shall jointly own all right, title and interest in and to the any Collaboration Invention that relates to [***] (in both cases, a “Jointly Owned Invention”) and any Patent that claims or covers a Jointly Owned Invention (each, a “Joint Patent”).


More Definitions of Collaboration Invention

Collaboration Invention shall have the meaning provided in Section 3.1.
Collaboration Invention means a Joint Invention, Biogen Idec Invention or PDL Invention.
Collaboration Invention means any discovery, Invention, Know-How or trade secret made (including conceived) by or on behalf of either Novartis or Morphosys in the course of performing activities [***] to the development of Therapeutic Antibody Products in the Field of Use or the Collaboration, whether before or after the Effective Date.
Collaboration Invention means any Invention created, discovered, conceived of or reduced to practice, during the Term, by or on behalf of either Party or both Parties pursuant to a Research Plan or the BB-301 Development Plan.
Collaboration Invention means any invention, discovery or creation (including materials and Know-How or other intellectual property), whether or not patentable, that is first (A) conceived; (B) reduced to practice; (C) discovered; or (D) otherwise created, in each of the foregoing cases (A) through (D), by a Party (directly or by a Third Party on its behalf) (1) in the course of, or as a result of, conducting the Study, including through use of the Syndax Compound or the Genentech Compound; (2) in the course of performing activities under this Agreement, including Joint Development Committee or Data Review Committee discussions; (3) through use of the Study Data or the Sample Data; or (4) through use of the Samples, in all cases, regardless of whether conceived, reduced to practice, discovered or otherwise created solely or jointly by Syndax or Genentech (directly or by a Third Party on its behalf). Collaboration Inventions include new uses, compositions or formulations comprising a Compound, methods of predicting responsiveness to a Compound (and any diagnostic method or product related thereto), new methods of administration or dosing schemes for a Compound, or improvements to a Compound. Notwithstanding the foregoing definition, Collaboration Inventions exclude Study Data and Sample Data, the ownership and use of which is addressed in Article 5.
Collaboration Invention means any invention, discovery or creation (including materials and Know-How but excluding Study Data and Sample Data) that is first conceived or reduced to practice by a Party (directly or by a Third Party on its behalf) or jointly by the Parties, in each case, (1) [***]; (2)[***]; or (3) [***]. Collaboration Invention means all Inventions Controlled by either Party, either alone or jointly with the other Party, which Inventions are made (meaning that they are conceived during the Term and experimentation has been initiated during the Term) by either Party's employees, agents or subcontractors in the performance of such Party's obligations under this Agreement, regardless of whether such Collaboration Inventions are made solely by such Party's employees, agents or subcontractors or jointly with the employees, agents or subcontractors of the other Party.
