The City and Miramar Energy LLC (the "Company"), a Delaware limited liability company, have entered into that certain Phase III Cogeneration Facility Site Lease Agreement, dated as of July 1, 2010 (the "Phase III Site Lease"), whereby the Company has agreed to finance, design, construct, own, operate and maintain cogeneration facilities and lease certain property, all as more particularly described therein.
All building exterior work will comply with the MBC site’s architectural theme as implemented on the Cogeneration Facility Site.
Health and Safety plans and Job Safety Analysis (JSAs) will be required for the construction and operation of modifications related to the CFSM project that is not located on the Cogeneration Facility Site.

The City agrees to use all reasonable efforts to supervise its equipment operators and other personnel employed at the Miramar Landfill and to instruct them not to damage any of the equipment or property constructed or located at the Phase III Cogeneration Facility Site, including the Phase III Cogeneration Facility and the Utility Interface.
Lessor and Lessee entered into that certain Amended and Restated Cogeneration Facility Site Lease Agreement dated February 1, 1998 (“Site Lease”), pursuant to which Lessor leased to Lessee, and Lessee leased from Lessor that certain real property described in the Site Lease as the “Cogeneration Facility Site,” as referenced in a Memorandum of Amended and Restated Cogeneration Facility Site Lease Agreement recorded July 20, 1998, No. 1998-0451213 of the Official Records, County of San Diego.
Furthermore, the City may elect to intertie the Utility Interface with the grid of a public utility (such as the Utility Company) purchasing the electric power generated by the City-Developed North City Expansion Project through the North City Cogeneration Facility Site and/or the North City Cogeneration Facility’s electrical equipment.
If the Phase III Cogeneration Facility Contractor does not terminate this Agreement in accordance with the foregoing, this Agreement shall remain in full force and effect as to the portion of the Phase III Cogeneration Facility Site remaining.
