Coffee Separation definition

Coffee Separation means a transaction or series of transactions which results in the Company’s coffee business being a stand-alone public company, whether effected by means of a “spin-off” (in which holders of Common Stock would receive Folgers shares as a dividend), a “split-off” transaction (in which holders of Common Stock would be entitled to exchange their shares of Common Stock for Folgers shares), or another mechanism to effect the separation of the coffee business from the Company and the establishment of the coffee business as a stand-alone public company.

  • Source separation means the separation of different kinds of solid waste at the place where the waste originates.

  • Air gap separation means the unobstructed vertical distance through the free atmosphere between the lowest opening from any pipe or faucet supplying water to a tank, plumbing fixture, or other device and the flood level rim of the receptacle.

  • CIC means the Construction Industry Council.

  • Cloud Service means any distinct, subscription-based, hosted, supported and operated on-demand solution provided by SAP under an Order Form.

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Video lottery terminal sales agent means a lottery sales agent licensed under Chapter 3770. of the ORC to conduct video lottery terminals on behalf of the state pursuant to Section 3770.21 of the ORC.

  • Outdoor cultivation means the cultivation of mature cannabis without the use of artificial lighting or light deprivation in the canopy area at any point in time. Artificial lighting is permissible only to maintain immature plants outside the canopy area.
