COF Rate definition

COF Rate has the meaning assigned to such term in Section 2.14(a).

COF Rate means the cost for each Lender of funding its pro rata share of Eurocurrency Loan (from whatever source and using whatever methodologies as such Lender may select in its reasonable discretion) at such times as a LIBOR Screen Rate or any local screen rate is not available for the applicable Interest Period and the Agent cannot determine a comparable replacement rate.

Examples of COF Rate in a sentence

  • The COF Rate shall be determined by the Bank in its discretion for the purposes of any proposed COF Interest Rate offered under this Section.

  • Upon receipt of such notice, the Co-Borrowers may revoke any pending request for a Borrowing, conversion, or continuation of Eurodollar Rate Loans or COF Rate Loans, as applicable, or, failing that, will be deemed to have converted such request into a request for a Borrowing of Base Rate Loans or COF Rate Loans, as applicable, in the amount specified therein.

  • The Bank may base the COF Rate for the purpose of computing the proposed COF Interest Rate on any (or any combination of) recognized sources of available funding for transactions of this type, including, but not limited to, the interbank market, the domestic and European certificate of deposit market and sales of commercial paper.

  • The COF Rate for purposes of this computation shall in any event include adjustments for the costs of maintaining reserves, insurance (including, without limitation, assessments by the FDIC), taxes, hedging and other costs which may be incurred by the Bank with respect to the applicable source or sources of funding, all as determined by the Bank in its discretion.

  • Thereafter, the obligation of the Banks to make or maintain Eurodollar Rate Loans or COF Rate Loans, as applicable, shall be suspended until all of the Banks revoke such notice.

COF Rate. As to any principal amount and for any period of time, that per annum rate of interest which the Bank is required to pay, or is offering to pay, for wholesale liabilities of a similar principal amount and for a similar period of time, adjusted for reserve requirements and for such other requirements as may from time to time be imposed by federal, state or local governmental and/or regulatory agencies, all as determined from time to time in its sole discretion by the Bank's treasury group.
COF Rate means, with respect to any Advance, the rate of interest determined by each relevant Lender of that Advance and notified by such Lender to the Designated Agent as the rate of the cost of funding its participation in that Advance from whatever source it may reasonably select.
COF Rate means the Prime Rate in effect as of the most recently occurred December or June month end.
COF Rate. A fixed rate of interest per annum determined by the Bank as described in the second paragraph of ss. 1.4.

COF Rate means a rate per annum equal to Lender’s overnight cost of funds using such funding sources (including, without limitation, Lender’s affiliated banks and companies) as Lender shall determine from time to time in its sole discretion.”
