Co-ordination Agreement definition

Co-ordination Agreement means the agreement of even date herewith between the Mortgagee, the Charterers and the other Collateral Charterers acknowledged by the Owners whereby e.g. the Sellers rights and obligations under the Sellers' Credit Agreement will be subordinated and subject to the rights of the Mortgagee under the Loan Agreement;
Co-ordination Agreement means a co-ordination agreement entered or to be entered into between the Lenders and the Borrower’s other financiers in respect of the Factoring Agreement and the factoring agreements registered in favour of other financiers and earnings related to the Vessel and vessels (financed by the other financiers) in the terms and form as the Agent on behalf of the Lenders may require.
Co-ordination Agreement means the intercreditor deed dated [·] 2011 and made between Commerzbank AG as senior mortgagee and the lender as junior mortgagee;

Co-ordination Agreement means the agreement so named to be entered into on the Closing Date between the Issuer, the Fund Manager, the Originator, the Servicer, the Custodian and the Trustee;
Co-ordination Agreement means the agreement so named entered into between, inter alios, the Trustee, the Issuer, the Fund Manager, the Custodian, the Servicer and the Seller on or about the Closing Date;
Co-ordination Agreement means the intercreditor agreement between Nordea Bank Norge ASA, New York Branch (in its capacity as security agent for the banks, financial institutions and persons listed on Schedule 1 to that certain restated and amended loan agreement as of 29 April 2004) and the Agent (in its capacity as facility agent under the Finance Documents), in form and substance satisfactory to the Agent (on behalf of the Finance Parties). “Default” means an Event of Default or any event or circumstance specified in Clause 23 (Events of Default) which would (with the expiry of a grace period, the giving of notice, the making of any determination under the Finance Documents or any combination of any of the foregoing) be an Event of Default. “DOC” means in relation to the Technical Manager a valid document of compliance issued to the Technical Manager pursuant to paragraph 13.2 of the ISM Code. “Drawdown” means a utilisation under a Facility. “Drawdown Date” means the Business Day on which the Borrowers have requested a Drawdown pursuant to this Agreement or, as the context requires, the date on which the relevant Loan is actually made. “Drawdown Notice” means the notice substantially in the form set out in Schedule 3 (Form of Drawdown Notice). “Earnings” means all moneys whatsoever which are now, or later become, payable (actually or contingently) to any of the Borrowers and which arise out of the use of or operation of any of the First Vessels, including (but not limited to): a) all freight, hire and passage moneys payable to any of the Borrowers, including (without limitation) payments of any nature under any of the Charterparties or any other charter or agreement for the employment, use, possession, management and/or operation of any of the First Vessels;
Co-ordination Agreement means, the intercreditor deed to be made between (i) the Borrower, (ii) the Lender as the senior mortgagee and (iii) the Second Lender as the junior mortgagee in the form set out in Appendix E;
Co-ordination Agreement means the co-ordination agreement entered into, or as the context may require, to be entered into between EXIM, ECGD, the Facility Agent, the Lenders, the Commercial Lenders, the ECGD Lenders, the Commercial Facility Agent, the ECGD Lender and the Security Trustee;

Co-ordination Agreement means the co-ordination agreement to be entered into between Nordea Bank Norge ASA (as agent under the Senior Facility Agreement), the Lender, Bank of Scotland plc (as lender under the Boss Tanker Facility Agreement) and the Borrower, in respect of the Share Pledge Agreement, the Second Share Pledge Agreement and the Third Share Pledge Agreement, in form and substance satisfactory to the Lender.
