CMPL means Cobar Management Pty Ltd, incorporated in Australia with company number 083 171 546. “Code” means the US Internal Revenue Code of 1986. “Collapse Date” means the earlier of: (a) if the Announcement has not been released by such time, 11.59p.m., London time, on the date falling five Business Days following the date of the countersignature of the Commitment Letter; (b) the date on which the Scheme Implementation Deed is terminated (in accordance with the provisions set out in the Scheme Implementation Deed); (c) 8.00 a.m. (Jersey time) on the Second Court Date (as defined in the Scheme Implementation Deed) if, by that time, any Scheme Condition Precedent (other than clause 3.1(b) (Court approval) of the Scheme Implementation Deed) has not been satisfied or waived in accordance with the terms of the Scheme Implementation Deed and Clause 23.21 (Acquisition Undertakings); (d) 5.00 p.m. (Jersey time) on the Second Court Date (as defined in the Scheme Implementation Deed) if the Scheme Condition Precedent stipulated in clause 3.1(b) (Court approval) of the Scheme Implementation Deed is not satisfied on that date; and (e) 11.59p.m. (Jersey Time) on 31 January 2026 if at that time any Scheme Condition Precedent has not been satisfied or waived in accordance with the Scheme Implementation Deed and Clause 23.21 (Acquisition Undertakings) or the Scheme has not become Effective (as defined in the Scheme Implementation Deed) in accordance with the Scheme Implementation Deed. “Commitment Letter” means the letter dated 26 May 2025 between the Global Co-ordinators, the IMLABs, the IMLA, the Parent and the Company. “Commitments” means the Facility A Commitments or the Facility B Commitments. “Compliance Certificate” means a certificate substantially in the form set out in Schedule 8 (Form of Compliance Certificate). “Compounded Reference Rate” means, in relation to any RFR Banking Day during the Interest Period of a Loan, the percentage rate per annum equal to the Daily Non-Cumulative Compounded RFR Rate for that RFR Banking Day. “Compounding Methodology Supplement” means, in relation to the Daily Non-Cumulative Compounded RFR Rate or the Cumulative Compounded RFR Rate, a document which: (a) is agreed in writing by the Parent, the Agent (in its own capacity) and the Agent (acting on the instructions of the Majority Lenders);

  • The Issuer hereby expressly covenants and agrees that the Subscription Amount shall be used exclusively for the Transaction or after the consummation thereof by the Issuer and its subsidiaries (including CMPL) for working capital and other corporate purposes.

  • Except as expressly set out in this agreement and to the maximum extent permitted by Law, the Channels are provided by CMPL on an 'as-is' 'where-is' basis without warranties of any kind whatsoever, express or implied, including in relation to quality, merchantability, fitness for purpose or non-infringement or that the services will be error free or uninterrupted.

  • In this Agreement, unless repugnant or contrary to the context hereof or otherwise defined herein, the following terms, when capitalised, shall have the meanings assigned when used herein: “active subscriber” means a subscriber who has been authorized to receive signals of CMPL Group Channels as per the subscriber management system and whose set top box has not been denied signals.

  • Further, the DPO shall confirm the details of Integrated Receiver Decoder (IRD’s) in respect of all such channels availed from CMPL in the format provided in ANNEXURE XI.

  • In the event the DPO fails to respond or provide a convenient date for audit falling within a month of the request date then in such an event, CMPL shall at its discretion levy an additional charge equivalent to ten percent (10%) of one month’s Subscription Fee paid by the DPO for the previous month.
