Club Channel Revenue definition

Club Channel Revenue means revenues of the Company (net of any and all sales adjustments, including but not limited to, customer credits for markdowns, promotions, returns, damages, cooperative advertising, rebates, discounts, or other promotional activities, other reductions of customer revenues, and any other amounts paid to customers) derived from Costco, Sam’s Club, and BJ’s membership warehouse clubs, as determined in accordance with GAAP, and as set forth in a supplemental schedule to the audited financial statements for the Baseline Period and for the Earn-out Period.
