UK Lender agrees to make a term loan in Sterling to CLU on the UK Term Loan Funding Date, in the aggregate principal amount of the Sterling Equivalent of $435,000 (the "CLU Term Loan" and, together with the CCEL Term Loan, the "UK Term Loans"), which shall be repayable in accordance with the terms of the applicable Term Note and shall be secured by all of the UK Collateral, and may bear interest either as UK Base Rate Loans or UK LIBOR Loans subject to the other provisions of this Agreement.
