CLSC means the actual knowledge of the officers and directors of CLSC, (v) the Shareholders means the actual knowledge of the officers and directors of each Shareholder that is an entity and shall mean the actual knowledge of each Shareholder who is an individual, and (vi) Purchaser means the actual knowledge of the officers and directors of Purchaser, in each case after reasonable inquiry of the senior employees of such entity who have a material responsibility for or devote substantial time to such matter.
