• If the Oryx Closing Working Capital (as finally determined in accordance with the provisions set forth in this Section 3.5) is less than the Oryx Closing Working Capital Target, then Oryx Holdings shall pay to the Company the amount of such deficiency.

• Each of the items included in the Estimated Closing Adjustment was prepared and calculated using the same accounting methodologies, principles and procedures applied by the Company in the preparation of the Company Balance Sheet and the formulation of the Minimum Adjusted Closing Working Capital Target.
