Closing Time and Place. Other than as specifically contemplated in this Agreement, the consummation and closing of the transactions contemplated by this Agreement ("Closing") shall take place at the offices of Fasken Xxxxxxxxx DuMoulin LLP, 000 Xxx Xxxxxx, Xxxxx 0000, Xxx Xxxxxxxx Centre, Box 20, Xxxxxxx, Xxxxxxx X0X 0X0, or such other location as the Buyer and the Sellers agree upon, on the Closing Date.
Closing Time and Place. The Closing Date shall be August 24, 2009, or such later date on which all of the conditions set forth in Article II have been fulfilled or otherwise waived by the parties hereto, but in any event not later than August 31, 2009, or such later date as the parties may mutually agree. All acts taking place on the Closing Date shall be deemed to be taking place simultaneously as of the commencement of business on the Closing Date, unless otherwise provided. The closing of the reorganization contemplated by the Plan (the “Closing”) shall be held at 10:00 a.m. (Eastern time) at the offices of Xxxxxx Xxxxxxxx LLP, 3000 Two Xxxxx Xxxxxx, Xxxxxxxxxxxx, Xxxxxxxxxxxx 00000, or such other time and/or place as the parties may mutually agree.
Closing Time and Place. Unless another date or place is agreed to by the parties, the closing of the Contributions (the "Closing") shall take place contemporaneously with the closing of the Consolidation at the offices of Proskauer Rose Xxxxx & Xendxxxxxx XXX, 1585 Xxxxxxxx, Xxx Xxxx, Xxx Xxxx 00000, xx such other place and time as Operating Partnership and the General Partner shall agree, upon the satisfaction or waiver of all conditions to the Closing set forth in Section 7 hereof.
Closing Time and Place. Subject to the final sentence of this Section 9.1, the closing of the transactions contemplated by Section 2.1(b) of this Agreement ("Closing") shall take place at a time and location mutually determined by Comcast Subsidiary and Time Warner Cable on the last Business Day of the calendar month in which all conditions set forth in Sections 8.1 and 8.2 have either been satisfied or waived in writing by the party entitled to the benefit of each such condition (except for conditions to be satisfied at Closing that will be satisfied at Closing), unless such conditions have not been so satisfied or waived (except for conditions to be satisfied at Closing that will be satisfied at Closing) by the fifth Business Day preceding the last Business Day of such calendar month, in which case the Closing shall take place on the last Business Day of the next calendar month (or such later date as agreed by the parties). In no event shall the Closing occur prior to the later of (x) July 1, 2005 or (y) the 30th day following the Option Exercise Date.
Closing Time and Place. This sale shall be closed at the offices of Scotland County Abstract and Title, Inc., Memphis, Missouri, on or before the 6th day of May, 2022, at which time all moneys and papers shall be delivered, and all other things called for by this contract at time of closing shall be done: provided, if title has not been perfected by said date but is perfected thereafter during the continuance of this contract, this sale shall be closed within five days after title has been perfected and approved by the Buyer. Where items are to be prorated, the Buyer shall have the benefit of or be charged with the day of closing, as the case may be; and where significant, the actual number of days in a particular month shall be taken into account.
Closing Time and Place. The closing of the purchase and sale provided for in this Agreement (the “Closing”) shall occur at the offices of Mxxxxxxx & Fxxxxxxx LLP, 500 Xxxx Xxxxx Xx., Xxxxx 0000, Xxx Xxxxxxx, XX 00000, on the third (3rd) Business Day after the day on which all of the conditions to closing set forth in Article 9 are satisfied or waived (other than conditions that are intended to be satisfied at the Closing) but in no event earlier than January 4, 2008, or at such other date, time or place as the parties may agree (the “Closing Date”).

Closing Time and Place. The closing of the transaction contemplated hereby (the "Closing") shall occur at a date, time and location agreeable to the Parties, as soon as all conditions under Sections 5.1, 5.2 and 5.3 have been satisfied or waived, but in no event later than July 1, 2020. If any condition under Section 5.1, 5.2 or 5.3 is not satisfied or waived on or before July 1, 2020, this Agreement shall terminate without further obligation of any Party, subject to any liability for breach of this Agreement accruing prior to such date.
Closing Time and Place. Closing of the transaction contemplated hereby (“Closing”) shall be held at the offices of Xxxxxxx Title, 0000 Xxxxxxx Xxxx., Pueblo, CO 81008 at a date and time as agreed by Seller and Purchaser. Each of the parties hereby authorizes Xxxxxxx Title to close this transaction and each agrees to be responsible for one-half (1/2) of the closing fee charged by Xxxxxxx Title.
