Closing Share Price definition

Closing Share Price means $10.00 per share.

Closing Share Price means the average closing prices on the New York Stock Exchange of the Common Shares for the twenty (20) Trading Days immediately preceding the Closing Date.

Closing Share Price means the closing or last sale price of one Share, as reported on the Nasdaq Stock Market, or such other stock exchange constituting the principal exchange on which the Shares are traded, for the applicable date, or if the applicable date is not a trading day, the trading day immediately preceding the applicable date.

Examples of Closing Share Price in a sentence

• For the avoidance of doubt, for the purpose of determining the Final Coupon Amount, the Closing Share Price (0) shall mean the Initial Share Price of the Share and the Closing Share Price (N-1) shall mean the Closing Share Price of the Share on the Scheduled Trading Day immediately preceding the Final Valuation Date.

• Each holder of Company Common Shares who otherwise would have been entitled to a fraction of a share of Parent Common Stock (after taking into account all PCSEs delivered by such holder) shall receive in lieu thereof cash (without interest) in an amount determined by multiplying the fractional share interest to which such holder would otherwise be entitled by the Closing Share Price, rounded to the nearest whole cent.

More Definitions of Closing Share Price

Closing Share Price shall be the market value of one such Share as determined by Calculation Agent using objectively verifiable data and information sources, if available. If a Delisting has occurred and is continuing in respect of such Shares on such immediately preceding Exchange Business Day, the “Closing Share Price” shall be the closing sale price for such Shares on the primary national or regional securities exchange on which such Shares are listed or admitted for trading or, if such Shares are not listed or admitted for trading on any such exchange, the last quoted bid price for such Shares in the over-the-counter market as reported by OTC Markets Group Inc. or a similar organization reasonably selected by Calculation Agent, in either case on such immediately preceding Exchange Business Day.

Closing Share Price shall be the closing sale price for such Shares on the primary national or regional securities exchange on which such Shares are listed or admitted for trading or, if such Shares are not listed or admitted for trading on any such exchange, the last quoted bid price for such Shares in the over-the-counter market as reported by OTC Markets Group Inc. or a similar organization reasonably selected by Calculation Agent, in either case on such immediately preceding Exchange Business Day.

Closing Share Price means the average closing price of the Company's common stock as reported on the NASDAQ National Market and published in The Wall Street Journal (Midwest Edition), for each of the ten (10) consecutive trading days on the effective date of the Change in Control.

Closing Share Price means, with respect to each Trading Day, the closing price of the shares of the Purchaser as reported on the NASDAQ Capital Market.

Closing Share Price means, in respect of a Share and any relevant day, the official closing price of the Share (expressed in relevant Share Currency (if specified in the relevant Issue Terms) applicable to the Share) as of the Valuation Time on the Exchange on such day, as determined by the Calculation Agent, provided that, if "Closing Share Price (Italian Reference Price)" is specified to be applicable in respect of a Share in the relevant Issue Terms, Closing Share Price means, in respect of such Share and any relevant day, the "Prezzo di Riferimento" of such Share on such day as published by the Borsa Italiana S.p.A. at the close of trading for such day and having the meaning ascribed thereto in the rules of the markets organised and managed by the Borsa Italiana S.p.A."

Closing Share Price has the meaning set forth in Section 2.06(a).

Closing Share Price means the price per share of NorthTech Common Stock determined based on the average bid ask price on the trading day immediately preceding the date of this Agreement. 'COBRA' shall be defined as set forth in Section 3.10(e). 'Code' means the Internal Revenue Code of 1986, as amended, and the treasury regulations thereunder.
