Closing gift definition
Closing gift means any gift given by a principal broker, or a licensee affiliated with the principal broker, to a buyer or seller, lessor or lessee, in appreciation for having used the services of a real estate brokerage.
Closing Cash means the aggregate amount of all Cash and Cash Equivalents of the Group Companies as of the Adjustment Time.
Closing Cash Amount means the amount of cash and cash equivalents held by the Company and the Company’s Subsidiaries, net of outstanding checks, as of the close of business on the day immediately preceding the Closing Date.
Closing Escrow Agreement means the Closing Escrow Agreement, dated as of the date hereof, between the Company, ▇▇▇▇ Capital Partners, LLC and the escrow agent (the “Escrow Agent”) identified therein, in the form of Exhibit B hereto.
Final Closing Cash shall have the meaning set forth in Section 2.11(g).
Post-Closing Adjustment has the meaning set forth in Section 2.04(b)(ii).
