Closing Date Share Purchase Price Payment definition

Closing Date Share Purchase Price Payment means the sum of (i) the Share Purchase Price (ii) plus or minus, as applicable, the Closing Adjustment, (iii) minus the Escrowed Amount, (iv) minus the Certified Company Indebtedness, and (v) minus the Certified Company Transaction Expenses.

  • Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Post-Closing Adjustment Amount has the meaning set forth in Section 1.9.3.
