Closing Acquired Stores Schedule means the final Acquired Stores Schedule as of the Closing Date reflecting any amendments thereto made pursuant to Section 6.7.2 and/or Section 6.7.3 after the date hereof.
Closing Transactions has the meaning set forth in Section 11.8(a)(i) of these Bylaws.
Closing Date Business Plan means the set of Projections of Borrowers for the 3 year period following the Closing Date (on a year by year basis, and for the 1 year period following the Closing Date, on a month by month basis), in form and substance (including as to scope and underlying assumptions) satisfactory to Agent.
Closing Date Acquisition shall have the meaning assigned to such term in the recitals hereto.
Closing Location means the location that all Proposals for this RFP will be accepted at.
Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.
Post-Closing Agreement shall have the meaning set forth in Section 8.9.
Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.
Applicable Closing Date Has the meaning specified in Section 5.01(b) of this Trust Supplement.
Closing Date Working Capital has the meaning specified in Section 2.3(b).
Closing Date Term Loan has the meaning specified in Section 2.01(a).
Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.
Closing Debt means the aggregate amount of all Debt of the Company as of the close of business on the day immediately preceding the Closing Date.
Closing Cash means the amount of Cash determined as of the close of business on the Closing Date.
New Services Queue Closing Date means each April 30 and October 31 shall be the Queue Closing Date for the New Services Queue comprised of Interconnection Requests, Completed Applications, and Upgrade Requests received during the six-month period ending on such date. New York ISO or NYISO: “New York ISO” or “NYISO” shall mean the New York Independent System Operator, Inc. or any successor thereto.
Final Closing Cash shall have the meaning set forth in Section 2.11(g).
Seller Closing Certificate has the meaning set forth in Section 7.02(d).
Closing Cash Amount has the meaning set forth in Section 2.2.
Additional Closing Date shall have the meaning set forth in Section 2.3.2.
Final Closing Working Capital has the meaning set forth in Section 2.5(d).
Second Closing Date has the meaning set forth in Section 1.3.
Closing Transaction Expenses means the Transaction Expenses as set forth on the Closing Statement.
Final Closing Statement has the meaning set forth in Section 2.5(d).
Additional Closing has the meaning set forth in Section 2.3.
Pre-Closing Straddle Period means the portion of a Straddle Period ending on the Closing Date.
Acquisition Closing Date means the “Closing Date” under and as defined in the Acquisition Agreement.
Closing means the closing of the purchase and sale of the Securities pursuant to Section 2.1.
