Close of Business on any given date shall mean 5:00 P.M., New York City time, on such date; provided, however, that if such date is not a Business Day it shall mean 5:00 P.M., New York City time, on the next succeeding Business Day.
Voting Record Date means the date for determining the eligibility of Members to vote at the Special Meeting.
Dividend Record Date has the meaning set forth in Section 3(a).
Semi-Annual Record Date means the "Record Dates" set forth under "Summary of Essential Financial Information--Estimated Distributions--Semi-Annual Distributions" in the Prospectus Part I for a Trust.
ADS Record Date shall have the meaning given to such term in Section 4.9.
Record Date With respect to any Distribution Date, the close of business on the last Business Day of the month preceding the month in which such Distribution Date occurs.
Interest Record Date for the interest payable on any Interest Payment Date (except a date for payment of defaulted interest) means the April 15 or October 15 (whether or not a Business Day), as the case may be, immediately preceding such Interest Payment Date.
Lock-in Period means the period of five consecutive years from the date of commencement of the policy, during which period the proceeds of the discontinued policies cannot be paid by the insurer to the policyholder or to the insured, as the case may be, except in the case of death or upon the happening of any other contingency covered under the policy.
Book-Entry Share has the meaning set forth in Section 2.01(c).

special meeting in lieu of an annual meeting means a special meeting called by Directors for the purpose of electing Directors in the event that an annual meeting is not held on or before such date as may be required by the NYSE Amex, New York Stock Exchange or such other exchange or trading system on which shares are principally traded, if applicable.
Close of Trading means the Scheduled Closing Time of the Relevant Stock Exchange with respect to the Fund or any Successor Fund; and
Record Date Period means the period from the close of business of any Regular Record Date next preceding any Interest Payment Date to the opening of business on such Interest Payment Date.
Registered voter means any person who is maintained on the Virginia voter registration system. All
Income Account Record Date means the "Record Dates" set forth in the "Essential Information" in the Prospectus.
Non-Voting Shares means a particular Class of Shares that do not carry the right to notice of or to attend or vote at general meetings of the Company or the relevant Fund.
close corporation means a close corporation within the meaning of the Close Corporations Act, 1984 (Act No. 69 of 1984);
Step-In Period means the period from the Step-In Date up to and including the Step-Out Date.
Shareholder of Record means the record owner of shares issued by an Investment Company or, in the case of joint ownership of such shares, all record owners, as designated (1) in the initial account application, or (2) in writing accompanied by a signature guarantee, or (3) pursuant to procedures as set forth in the Application.
Paper ballot means a paper that contains:
Ballot means the ballots accompanying the Disclosure Statement upon which certain Holders of Impaired Claims entitled to vote shall, among other things, indicate their acceptance or rejection of the Plan in accordance with the Plan and the procedures governing the solicitation process.
Distribution Record Date means the Confirmation Date.
Relevant Record Date means the date on which a Bondholder’s ownership of Bonds shall be recorded in the CSD as follows:
Record Holders has the meaning set forth in Section 5.01(b).
Multiple Voting Shares means the multiple voting shares in the capital of the Corporation;
Monthly Record Date means the "Record Dates" set forth under "Summary of Essential Financial Information--Estimated Distributions" in the Prospectus Part I for a Trust.
