Nothing in this Agreement shall be interpreted to permit Buyer or any employee or agent of Buyer to perform any act requiring licensure under applicable state law or to in any way influence the professional medical judgment of any Clinical Provider.
Nothing in this Agreement is to be construed to restrict the professional judgment of the Sellers or any Clinical Provider to use or to refer a patient to any medical practice or facility where necessary or desirable in order to provide proper and appropriate treatment or care to a patient or to comply with the wishes of the patient.

Company and Sellers have good, working relationships with all Payors, and neither Company nor Sellers have received any written notice, and Sellers have no reason to believe, that any Payor is considering discontinuing its relationship with Company, adjusting any fee schedule or reimbursement rate now in effect, or denying or disputing any claims submitted to such Payor by Company or any Clinical Provider.
The Group Companies and each Clinical Provider are in compliance in all material respects with the Healthcare Laws.
To Seller's knowledge, no Clinical Provider has had their privileges to practice at any healthcare institution terminated or restricted since January 1, 2006.
Neither any Clinical Entity nor any Clinical Provider has been subject to a judgment or has repaid any overpayment relating to Clinical Payment Programs.
