Client Group Member definition

Client Group Member means You or any of Your Affiliates.

Client Group Member means Client or any Client Affiliate;

Client Group Member means the Client and any company which is for the time being a subsidiary or holding company of, or affiliated to, the Client.

• Company warrants and represents that, before any Company Affiliate Processes any Client Personal Data on behalf of any Client Group Member, Company's entry into this Addendum as agent for and on behalf of that Company Affiliate will have been duly and effectively authorised (or subsequently ratified) by that Company Affiliate.

• Company shall notify Client without undue delay upon Company or any Sub-processor becoming aware of a Personal Data Breach affecting Client Personal Data, and when making such notification shall provide Client with such information as the Company has available at that time in respect of the Personal Data Breach to aid each Client Group Member in meeting any obligations to report or inform Data Subjects of the Personal Data Breach under the Data Protection Laws.

• Company shall co-operate with Client and each Client Group Member and take such reasonable commercial steps as are directed by Client to assist in the investigation, mitigation and remediation of each such Personal Data Breach.

• We may disclose information provided by You or relating to You under a common Channel(s) set-up, to any Client Group Member.

• Protection One, for itself and each Client Group Member, and Western each hereby agree that none of Protection One, Western, or any Client Group Member, shall bring a legal action against any Client Group Member, Western, or Protection One, as the case may be, without first having complied with the provisions set forth in this Section 16.

• Nothing contained herein is intended or shall be construed to create an employer-employee relationship, joint venture or partnership between Western and Protection One and/or any Client Group Member.

• BulkSMS warrants and represents that, before any BulkSMS Affiliate Processes any Personal Data on behalf of any Client Group Member, BulkSMS’s entry into this Addendum as agent for and on behalf of that BulkSMS Affiliate will have been duly and effectively authorised (or shall be subsequently ratified) by that BulkSMS Affiliate.

• We may disclose information provided by or relating to You to any Client Group Member.

• The nature of the Processing of Personal Data is dependent on the Services that SmarterServices has been engaged to provide, being one or more of the following: SmarterAssessments™: Assessments of students and faculty to assist in determining the readiness and performance of students and faculty for various subject matters and Client Group Member course offerings.

• By way of example, if the action is successfully resolved after 31 March 2018, a Client Group Member would be required to pay to IMF a commission of 35% of the amount for which that group member’s claims are settled or for which judgment is given.
