Class B(2008-2) Note definition

Class B(2008-2) Note means any Note, substantially in the form set forth in Exhibit A-2 to the Indenture Supplement, designated therein as a Class B(2008-2) Note and duly executed and authenticated in accordance with the Indenture.
Class B(2008-2) Note means any Note, in the form set forth in Exhibit A hereto, designated therein as a Class B(2008-2) Note and duly executed and authenticated in accordance with the Indenture.

Examples of Class B(2008-2) Note in a sentence

  • In the event any Class B(2008-2) Note is Transferred in an Exempt Transaction, such Class B(2008-2) Note may be issued either in the form of a global Registered Note as provided in Sections 2.02 and 3.01(i) of the Indenture, respectively, or in definitive, fully registered, certificated form, as applicable, and shall initially be registered in the name of the beneficial owner as listed in the Note Register.

  • Each Noteholder shall by its acceptance of such Class B(2008-2) Note, have agreed to any such amendment or supplement.

  • Notwithstanding anything to the contrary contained herein, each Class B(2008-2) Note and this Terms Document may be amended or supplemented to modify the restrictions on and procedures for Transfer of the Class B(2008-2) Notes to reflect any change in applicable law or regulation (or the interpretation thereof) or in practices relating to the Transfer of restricted securities generally.

  • Any attempted Transfer of a Class B(2008-2) Note that would cause the number of Targeted Holders to exceed ninety-five shall be void.

  • If it is acquiring any Class B(2008-2) Note, or any interest or participation therein, as a fiduciary or agent for one or more investor accounts, it represents that it has sole investment discretion with respect to such account and that it has full power to make the acknowledgements, representations and agreements contained herein on behalf of each such account.

  • With respect to any such Transfer, the Class B(2008-2) Note shall be transferred for a global Registered Note which shall bear a legend to the following effect: UNLESS THIS NOTE IS PRESENTED BY AN AUTHORIZED REPRESENTATIVE OF THE DEPOSITORY TRUST COMPANY, A NEW YORK CORPORATION (“DTC”), TO THE ISSUING ENTITY OR ITS AGENT FOR REGISTRATION OF TRANSFER, EXCHANGE OR PAYMENT, AND ANY NOTE ISSUED IS REGISTERED IN THE NAME OF CEDE & CO.

  • The Depository for any Class B(2008-2) Notes issued as global Registered Notes shall be The Depository Trust Company, with each such Class B(2008-2) Note being registered in the name of Cede & Co., its nominee.

  • If, however, any Class B(2008-2) Note is Transferred pursuant to an effective registration under the Securities Act and applicable state securities or “blue sky” laws, such Class B(2008-2) Note shall be issued in the form of a global Registered Note as provided in Sections 2.02 and 3.01(i) of the Indenture, respectively.

  • No Transfer of any Class B(2008-2) Note shall be made except either (i) pursuant to an effective registration under the Securities Act and applicable state securities or “blue sky” laws or (ii) in an Exempt Transaction.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class C Note means any one of the Series 2020-1 3.02% Rental Car Asset Backed Notes, Class C, executed by ABRCF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit C-1, Exhibit C-2 or Exhibit C-3. Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-4 Note means any of the 3.30% Asset Backed Notes, Class A‑4, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Class B Note means any of the 0.00% Asset Backed Notes, Class B, issued under the Indenture substantially in the form attached thereto as Exhibit A-3.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Class A Note means a Class A-1 Note, a Class A-2 Note, a Class A-3 Note or a Class A-4 Note.

  • Class C Note Rate means 3.48% per annum.

  • Class C Note Principal Balance means, on any date of determination, an amount equal to (a) the Class C Note Initial Principal Balance, minus (b) the aggregate amount of principal payments made to the Class C Noteholders on or prior to such date.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class C Note Initial Principal Balance means $52,500,000.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.
