Class B Shareholder means the record owner of any Class B Shares, including any Person who becomes the record owner of any Class B Shares through an original issuance effected in compliance with this Agreement and any Person who becomes the record owner of any Class B Shares pursuant to a Permitted Transfer, but shall not include any other Person who may otherwise acquire or possess Class B Shares or rights with respect to Class B Shares or other interests in Class B Shares. As of the Closing Date, all of the Class B Shareholders are Initial Members.
