  • If the Indemnity Holdback is insufficient to satisfy the Indemnifying Party’s indemnification obligations hereunder, Acquiror may offset such unsatisfied amounts against any Contingent Payment payable to the Indemnifying Party as determined based upon the Claim Stock Value.
