ChinaEquity definition

ChinaEquity together with CNshangquan, the “Rollover Holders”) has executed a support agreement with Parent, dated as of the date hereof (collectively, the “Support Agreements”), providing that, among other things, (i) each Rollover Holder will vote all Shares held by it (the “Rollover Shares”) in favor of the authorization and approval of this Agreement, the Cayman Plan of Merger and the Transactions in accordance with the terms set forth therein, and (ii) each Rollover Holder agrees, upon the terms and subject to the conditions in the Support Agreement, to receive no consideration for the cancellation of the Rollover Shares in accordance with the terms of this Agreement, and to subscribe for newly issued shares of Parent; and

ChinaEquity means CHINAEQUITY SMART TRAVEL CO., LTD., a limited liability company duly incorporated and validly existing under the laws of the British Virgin Islands, and a holder of Series C Preferred Shares as of the date of adoption of these Articles.

  • Asia means Australia, China, Hong Kong, India, Indonesia, Japan, Korea, Macau, Malaysia, New Zealand, Philippines, Singapore, Taiwan, and Thailand.

  • Insight as used in this clause, means technical visibility into the Program, maintained through audit, surveillance, assessment of trends and metrics, software independent verification and validation, the flight readiness review process, and review or independent assessment of out-of-family anomalies occurring in any phase of the program.
