Change Order Cost definition

Change Order Cost means the net increase * * * in costs caused by or resulting from Change Orders requested by [RVI] (after reasonable efforts of the parties to minimize such costs). Such costs include, without limitation, architectural and engineering fees * * *, the six percent (6%) construction fee payable to [Construction Plus] under the Construction Contract and hard and soft construction costs. Change Order Cost means the net amount by which the estimated aggregate cost Landlord will necessarily incur in connection with the construction of the Improvements, including, without limitation, the costs of labor and material, architectural and design fees, interest and other carrying costs, and sales or other excise taxes Landlord must pay in connection with the purchase of materials and services, will change by reason of the implementation of a change Tenant requests with respect to the Final Plans and Specifications, and shall be, at Tenant's option, either (i) paid by Tenant, or (ii) included in the calculation of Base Rent payable under the Lease by adding to the amounts set forth in Section 3.01 of this Lease, the product obtained by the Base Rent Applicable Yield (as defined below), multiplied by the sum of all Change Order Costs set forth in fully executed Change Orders (the "Aggregate Change Order Cost"). If the Aggregate Change Order Cost is a negative number, thereby reflecting that Landlord will realize savings in the estimated aggregate cost Landlord will necessarily incur in connection with the construction of the Improvements by reason of the implementation of Tenant's requested changes, the parties will proportionately diminish the Base Rent allocable to the Improvements to reflect that cost savings.
Change Order Cost means those additional or reduced recurring and non-recurring costs to Contractor to implement such change ( or which are not required to be implemented), as determined in accordance with Contractor's normal accounting practices, including those general and administrative costs ("G&A Costs") of such change, as determined in accordance with Contractor's normal accounting practices, [*********************] of Contractor's costs for such change. The "Change Order Profit Component" shall be equal to [***********] of the Change Order Cost. The Total Change Order Cost shall be payable in accordance with the payment plan agreed by the Parties or, if applicable, by the Arbitrator. Unless otherwise agreed by the Parties, the Change Order Profit Component shall be payable in equal monthly installments at the same time as the monthly installments of Incentives Obligations; provided, however, that payment of the Change Order Profit Component shall not be conditioned upon performance of the Spacecraft or any component thereof.

More Definitions of Change Order Cost

Change Order Cost means (i) the net increase in costs caused by or resulting from the Change Order, including, without limitation, architectural fees, engineering fees and construction costs, general contractor's overhead and profit together with (ii) a fee in the amount of ten percent (10%) of any net increase in costs resulting from a Change Order requested by Tenant pursuant to this Section 6, which fee shall reimburse Landlord for the expense of administration and coordination of such Change Order by Landlord's Representative. Tenant shall pay for any Change Order Cost resulting from a Tenant Change Order. Tenant shall not be responsible to pay for any Change Order not requested by Tenant and approved in writing.
Change Order Cost means the amount set forth in an executed Change Order representing the net increase or decrease in City Improvements Costs associated with the change in the Project Services identified in the Change Order.
Change Order Cost shall be equal to the total increase or decrease in costs resulting from the subject change (including, without limitation, any and all design, permitting and other so-called "soft costs").
