Certification Date definition

Certification Date means with respect to Securities of any series (i), if Bearer Securities of such series are not to be initially represented by a temporary global Security, the date of delivery of the definitive Bearer Security and (ii), if Bearer Securities of such series are initially represented by a temporary global Security, the earlier of (A) the Exchange Date with respect to Securities of such series and (B), if the first Interest Payment Date with respect to Securities of such series is prior to such Exchange Date, such Interest Payment Date.

Certification Date means the later of the date on which an order granting certification or authorization of a Proceeding against one or more Non-Settling Defendants is issued by a Court and the time to appeal such certification or authorization has expired without any appeal being taken, or if an appeal is taken the date of the final disposition of such appeal.

• This certification shall be made no later than sixty (60) days following the end of the Performance Period (the date of such certification with respect to the Performance Period, the “ Certification Date”).Any Target Performance Stock Units that fail to become Earned Performance Stock Units on the Certification Date related to the Performance Period will terminate on the Certification Date for no consideration.
